Highly Compensated Employees Sample Clauses

Highly Compensated Employees. Attached hereto as Schedule 3.19(d) is a list of the names of all present RedChip Employees with total compensation expected to exceed $100,000 in 2000 and their current compensation payable by RedChip. Notwithstanding any provision of this Agreement or any Schedule to the contrary, RedChip represents that from and after the Effective Time no benefit or other compensation is payable to any Person identified on Schedule 3.19(d) upon the voluntary resignation of such Person from employment with FRT or RedChip as a result of the occurrence of the Effective Time.

Highly Compensated Employees. Section 3.17(d) of the Company Disclosure Schedule sets forth the names of all present Employees (i) with total compensation exceeding $100,000 in 2005 and (ii) expected to receive total compensation exceeding $100,000 in 2006, including all bonuses and other cash compensation, each as paid or is payable by the Company. Notwithstanding any provision of this Agreement or any Section of the Company Disclosure Schedule to the contrary, the Company represents that from and after the Effective Time no benefit or other compensation is payable to any Person identified on Section 3.17(d) of the Company Disclosure Schedule upon the voluntary resignation of such Person from employment with Buyer or the Company as a result of the Merger.

Highly Compensated Employees. A Participant is a HCE for a particular Plan Year if he or she meets the definition of a HCE in effect for that Plan Year; and a Participant is a NHCE for a particular Plan Year if he or she does not meet the definition of a HCE in effect for that Plan Year. The Contribution Percentage for any Participant who is a HCE and who is eligible to have Contribution Percentage Amounts allocated to his or her account under two or more plans described in Code §401 (a), or arrangements described in Code §401(k) that are maintained by the Employer, will be determined as if the total of such Contribution Percentage Amounts was made under each plan. If a HCE participates in two or more cash or deferred arrangements that have different plan years, all cash or deferred arrangements ending with or within the same calendar year will be treated as a single arrangement. Notwithstanding the foregoing, certain plans will be treated as separate if mandatorily disaggregated under regulations under Code §401(m).
