Headings and Captions; Interpretation. In this Agreement, unless the context otherwise requires, (i) references to Sections are to Sections of this Agreement; (ii) use of any gender includes the other genders; (iii) any reference to a “day” (including within the phrase “Business Day) shall mean a period of 24 hours running from midnight to midnight; (iv) a reference to any other document referred to in this Agreement is a reference to that other document as amended, varied, modified or supplemented at any time; (v) where a word or phrase is given a particular meaning, other parts of speech and grammatical forms of that word or phrase shall have corresponding meanings; (vi) reference to an “authorization” includes any authorization, consent, order, approval, resolution, licence, exemption, permission, notarization, recording, filing and registration; (vii) a reference to this “Agreement” or any other agreement or document shall be construed as a reference to it as amended, or modified from time to time; and a reference to “affiliate” or “affiliated” means an entity that directly or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with the Company. The headings in this Agreement are inserted for convenience only and shall not be taken into consideration in the interpretation or construction of this Agreement.
