Hardware and Software Procurement. HP will order, and deliver the HP-provided Products specified in Appendix C, Pricing Index of DIR Contract No. DIR-TSO-2538 and the Service and Pricing Statement Table A. HP will make reasonable commercial efforts to schedule the delivery with the Device Installation Schedule. As its discretion, HP will assign a remote or onsite single point of contact to coordinate the delivery of the HP-provided Products at each Site’s good receiving area. Customer will provide a single point of contact at each Site to receive and sign for the HP-provided Products. Customer Fleet Acquisition (Optional) HP will buy from Customer the devices listed in the Service and Pricing Statement Transferred Devices table. Customer represents and warrants that the Transferred Devices are in good working order and not subject to any form of lien, judgment, security agreement, financing arrangement, or any other encumbrance that would give any third party a security interest senior or superior to HP’s interest in them. Customer agrees to indemnify and hold HP harmless for any and all costs incurred as a result of any third party claims with respect to the transferred Devices. Following transfer, the transferred Devices shall be the property of HP. Devices included in the Fleet will be deemed to be HP-provided Devices for purposes of this Agreement, and the Device start date will be the transferred date. Unless expressly mentioned in this Agreement, transferred Devices shall be used in their current location. Any requirements for movement shall be managed as a Change Order. The transfer Devices transaction is subject to HP’s credit approval. HP reserves the right to undertake a due diligence process at Customer’s costs to ensure that transferred Devices are identifiable and meet HP’s guidelines on security requirements, The costs for the due diligence process will be in accordance with Appendix C, Pricing Index of DIR Contract No. DIR-TSO-2538, to which the parties will mutually agree in advance. Fleet Reduction Service Customer may opt to have up to twelve percent (12%) of the deployed Fleet Devices deinstalled and removed from the Agreement and HP will provide a fleet reduction allowance (Fleet Reduction Allowance) for the deinstallation and removal of HP- provided Devices over the Term of this Agreement, in accordance with Appendix C, Pricing Index of DIR Contract No. DIR-TSO-2538, and as shown in the Service and Pricing Statement (Table H). Hardware and Software Procurement. (a) EDS will procure and deliver, or cause to be delivered, to Hawaiian's Office the Third Party Hardware and Third Party Software, in consideration of the EDS Charges set forth on Schedule C. Prior to purchasing any such hardware and Software, EDS will review with Hawaiian the detailed descriptions of the actual Third Party Software and Third Party Hardware to be procured by EDS. If Hawaiian desires that EDS purchase additional hardware or Software (in terms of quantity, upgrades, functions, features or capacity), then EDS will do so subject to the parties reaching a mutual agreement in accordance with the provisions of Article VI.
Hardware and Software Procurement. Hardware and software procurement will proceed with consideration for lead times so that equipment can arrive on site at or about the same time the network is certified. Due to supply chain challenges, lead times may have schedule impacts. Unless lead times are affected by additional requirements uncovered in the discovery phase the Procurement phase is relatively brief. As part of STRATACACHE’s quality assurance efforts, each piece of hardware that is acquired will be unboxed, inspected and will have asset tags affixed to each device and its packaging. Once hardware is received and quality assured, it will be shipped to PIE, where it will be received into inventory and locked up in storage until it is ready for deployment. Once this milestone is achieved, the most significant project phase will be underway.
Hardware and Software Procurement. ETS will provide advice and recommendations for hardware and software to meet Client’s existing or new requirements. ETS will provide reasonable commercial efforts to procure hardware and software with optimal sourcing from all major hardware manufacturers, at market rates or better. Hardware and software cost is not covered under this program. For new hardware or software computers installed in excess of the total Devices then being paid under device-based plans, Client will be charged for full MSC for the month in which the device was installed and through the remainder of the contract period, unless subsequently adjusted pursuant to the terms of this Agreement.

  • Software and Documentation Licensee may make as many copies of the Software necessary for it to use the Software as licensed. Each copy of the Software made by Licensee must contain the same copyright and other notices that appear on the original copy. Licensee will not modify the Documentation. Documentation may: (a) only be used to support Licensee’s use of the Software; (b) not be republished or redistributed to any unauthorized third party; and (c) not be distributed or used to conduct training for which Licensee, or any other party, receives a fee. Licensee will not copy any system schema reference document related to the Software.

  • Software Title and ownership to Existing Software Product(s) delivered by Contractor under the Contract that is normally commercially distributed on a license basis by the Contractor or other independent software vendor proprietary owner (“Existing Licensed Product”), embedded in the Custom Products, shall remain with Contractor or the proprietary owner of other independent software vendor(s) (ISV). Effective upon acceptance, such Product shall be licensed to Authorized User in accordance with the Contractor or ISV owner’s standard license agreement, provided, however, that such standard license, must, at a minimum: (a) grant Authorized User a non-exclusive, perpetual license to use, execute, reproduce, display, perform, adapt (unless Contractor advises Authorized User as part of Contractor’s proposal that adaptation will violate existing agreements or statutes and Contractor demonstrates such to the Authorized User’s satisfaction) and distribute Existing Licensed Product to the Authorized User up to the license capacity stated in the Purchase Order or work order with all license rights necessary to fully effect the general business purpose(s) stated in the Bid or Authorized User’s Purchase Order or work order, including the financing assignment rights set forth in paragraph (c) below; and (b) recognize the State of New York as the licensee where the Authorized User is a state agency, department, board, commission, office or institution. Where these rights are not otherwise covered by the ISV’s owner’s standard license agreement, the Contractor shall be responsible for obtaining these rights at its sole cost and expense. The Authorized User shall reproduce all copyright notices and any other legend of ownership on any copies authorized under this clause. Open source software is developed independently of Contractor and may be governed by a separate license (“open source software”). If the open source software is governed by a separate License and provided under this Contract, Contractor shall provide a copy of that license in the applicable Documentation and the Authorized User's license rights and obligations with respect to that open source software shall be defined by those separate license terms and subject to the conditions, if any, therein. Nothing in this Contract shall restrict, limit, or otherwise affect any rights or obligations the Authorized User may have, or conditions to which the Authorized User may be subject, under such separate open source license terms.

  • Software Upgrades Software Upgrades consist of new product releases which are issued periodically and may include new functionality, enhancements, and bug fixes. Software Upgrades are provided only for standard hardware platforms and operating systems supported by COMSPOC as described in the Documentation. Software Upgrades will apply only to unmodified Software and commercially released updated versions of the Software. You are responsible for making or arranging for updates to interfaces for nonstandard devices or custom applications. Software Upgrades are provided subject to the terms and conditions of the then current and applicable COMSPOC Software License Agreement, available on COMSPOC’s website at xxxx://xxx.xxxxxxx.xxx/sla or with the deliverable Software or upon request. All major product releases and maintenance releases will be made available and may be shipped directly to you, upon request by contacting your COMSPOC point of contact or xxxxxxx@xxxxxxx.xxx. You may upgrade to the latest product version at any time during the term of the Annual Support and Upgrades Agreement. If you opt not to renew the Annual Support and Upgrade Agreement, You have 60 days from the end of the Annual Support and Upgrades Agreement term to upgrade to the latest product version available prior to the end of the Annual Support and Upgrades Agreement term. If You request an upgrade beyond this 60-day period, You will be required to renew the Annual Support and Upgrades Agreement in order to upgrade to the latest product version.

  • Software Licensing Contractor represents and warrants that the software, if any, as delivered to City, does not contain any program code, virus, worm, trap door, back door, time or clock that would erase data or programming or otherwise cause the software to become inoperable, inaccessible, or incapable of being used in accordance with its user manuals, either automatically, upon the occurrence of licensor-selected conditions or manually on command. Contractor further represents and warrants that all third party software, delivered to City or used by Contractor in the performance of the Contract, is fully licensed by the appropriate licensor.

  • Equipment and Software To use the Mobile Remote Deposit Services, you must obtain and maintain at your expense, compatible equipment and software that we may specify from time to time.

  • SERVICE MONITORING, ANALYSES AND ORACLE SOFTWARE 11.1 We continuously monitor the Services to facilitate Oracle’s operation of the Services; to help resolve Your service requests; to detect and address threats to the functionality, security, integrity, and availability of the Services as well as any content, data, or applications in the Services; and to detect and address illegal acts or violations of the Acceptable Use Policy. Oracle monitoring tools do not collect or store any of Your Content residing in the Services, except as needed for such purposes. Oracle does not monitor, and does not address issues with, non-Oracle software provided by You or any of Your Users that is stored in, or run on or through, the Services. Information collected by Oracle monitoring tools (excluding Your Content) may also be used to assist in managing Oracle’s product and service portfolio, to help Oracle address deficiencies in its product and service offerings, and for license management purposes.
