Handling of Customer. Data in the Event of Termination. Customer agrees that following termina- tion of Customer’s account and/or use of the Service, Site Industries, LLC may immediately deactivate Customer’s account and that following a reasonable period of not less than n i n e t y ( 90) days shall be entitled to delete Customer’s account from Site Industries, LLC’s “live” site. During this period and upon Customer’s request, Site Industries, LLC will grant Customer limited access to the Service for five (5) days for the sole purpose of permitting Customer to retrieve Customer Data, provided that Cus- tomer has paid in full all good faith undisputed amounts owed to Site Industries, LLC. Customer further agrees that Site Industries, LLC shall not be liable to Customer nor to any Third-Party for any termina- tion of Customer access to the Service or deletion of Customer Data, provided that Site Industries, LLC is in compliance with the terms of this Section 7.4.

Customer agrees that following the termination or expiration of this Agreement, SilkRoad may immediately deactivate Customer’s account and access to the Hosted Service and that following a reasonable period of time (but not less than ninety (90) days) shall be entitled to delete Customer’s account and data from SilkRoad’s servers. During this ninety (90) day period and upon Customer’s request, SilkRoad will provide one copy of the Customer Data at no charge in the format of a Microsoft SQL Server backup file containing encryption (or Secure FTP), provided that Customer has paid in full all good faith undisputed amounts owed to SilkRoad. Customer further agrees that SilkRoad shall not be liable to Customer nor to any third party for deletion of Customer Data, provided that SilkRoad is in compliance with the terms of this Section.

  • Processing of a Grievance It is recognized and accepted by the Union and the Employer that the processing of grievances as hereinafter provided is limited by the job duties and responsibilities of the employees and shall therefore be accomplished during normal working hours only when consistent with such employee duties and responsibilities. The aggrieved employee and a Union representative shall be allowed a reasonable amount of time without loss of pay when a grievance is investigated and presented to the Employer during normal working hours provided that the employee and the Union representative have notified and received the approval of the designated supervisor who has determined that such absence is reasonable and would not be detrimental to the work programs of the Employer.

  • Voice Information Service Traffic 5.1 For purposes of this Section 5, (a) Voice Information Service means a service that provides [i] recorded voice announcement information or [ii] a vocal discussion program open to the public, and (b) Voice Information Service Traffic means intraLATA switched voice traffic, delivered to a Voice Information Service. Voice Information Service Traffic does not include any form of Internet Traffic. Voice Information Service Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties. Voice Information Service Traffic is not subject to Reciprocal Compensation charges under Section 7 of the Interconnection Attachment.

  • License to Customer Vendor grants to Customer, a perpetual, irrevocable, royalty free license, solely for the Customer’s internal business purposes, to use, copy, modify, display, perform (by any means), transmit and prepare derivative works of any Vendor IP embodied in or delivered to Customer in conjunction with the Work Product. The foregoing license includes the right to sublicense third parties, solely for the purpose of engaging such third parties to assist or carryout Customer’s internal business use of the Work Product. Except for the preceding license, all rights in Vendor IP remain in Vendor.
