Gxxxxxx. Xxxx xf the terms and conditions of this Agreement may be changed, waived, modified or varied in any manner whatsoever unless in writing duly signed by the Pledgor and the Collateral Agent.
Gxxxxxx. Xxxx Xgrxxxxxx xxxxx xx xonstrued in accordance with the laws of the State of Florida, without giving effect to the conflicts of laws rules thereof. Each of the Parties submits unconditionally to the jurisdiction of the Federal Court for the Southern District of Florida for resolution of any controversy hereunder. This Agreement may be executed in several counterparts, each of which shall constitute an original, and all collectively shall constitute but one agreement.
Gxxxxxx. The Event server functionality manages the operational NCC's activities. It receives all incoming alarms received by the Ituran location system from the end units and routes them to operator workstations. All the operator workstations are connected to this server. In addition, the workstations are connected to the location system gateway, and through this gateway they are able to send commands to the end units and receive messages from the end units (such as location and various status messages). The Event Server also takes part in the unit activation process, the concluding part of every new end unit installation.
Gxxxxxx. Xxxx Xxreement sets forth the entire Agreement between the parties and supersedes all other written or oral agreements of the parties relating to the subject matter hereof. This Agreement cannot be modified, altered or amended except by an agreement in writing signed by each of the parties. The failure of either party to this Agreement to object or take action with respect to breach of this Agreement shall not be construed as a waiver said breach or any future breach hereof. This Agreement shall be construed and interpreted in accordance with the laws of the State of California, applicable to agreements to be executed and performed
Gxxxxxx. XXX (HONGKONG) LTD, a company incorporated in Hong Kong and having its registered office at 22/F, Hang Lxxx Xxxxxx, 0-00 Xxxxxxxx Xxxxxx, Xxxxxxxx Xxx, Xxxx Xxxx (hereinafter referred to as “GN”); (referred to each as a “Party” or “Shareholder” and collectively as “Parties” or “Shareholders” to this Agreement and “Parties” or “Shareholders” shall also include any Party or Shareholder who has executed a Deed of Ratification & Accession to this Agreement pursuant to Clause 11) AND
Gxxxxxx xx entitled to take vacations at reasonable times and for customary and reasonable lengths of time consistent with his overall responsibilities as President of M. G.

Headings are for the convenience of the parties and should not be used to construe meaning. This Agreement may be executed in counterparts with some legal effect as if each party had signed the same copy.

Xx the Knowledge of Times Mirror, TMHE, the TMHE Subsidiaries, Mosby (with respect to Mosby's College Text Businexx) xnd the TMIP Entitixx (xxxh respect to the International Assets and the International Liabilities) are in compliance with all applicable statutes, laws, ordinances, rules, orders and regulations of any governmental authority or instrumentality, domestic or foreign, except for any such inci- dents of noncompliance that in the aggregate would not have a material adverse effect on the business, financial condition or results of operation of the College Publishing Business, taken as a whole. This Section 5.19 does not relate to matters with respect to Taxes or any other taxes. This Section 5.19(a) does not relate to environmental matters, which are the subject of Sections 5.19(b), 5.19(c) and 5.19(d).
