GVC's undertakings. (a) GVC agrees and undertakes to ▇▇▇▇▇▇▇ ▇▇▇▇ that it shall procure that no member of the GVC Group shall, following the Effective Time: (i) enter into the Canal+ JV; or (ii) amend any of the provisions of the Canal+ Heads of Terms or incorporate any amended term of the Canal+ Heads of Terms into the Canal+ JV. (b) If ▇▇▇▇▇▇▇ ▇▇▇▇ determines that it wishes to pursue an arrangement with Canal+ (whether in accordance with the Canal+ Heads of Terms or otherwise) with respect to the Sportingbet Spanish Business or any Sportingbet Spanish Assets, ▇▇▇▇▇▇▇ ▇▇▇▇ reserves the right to do so and, if reasonably requested, GVC and/or Sportingbet will use all reasonable endeavours to assist ▇▇▇▇▇▇▇ ▇▇▇▇ in concluding such arrangement.
