GSK Development and Commercialization Sample Clauses
GSK Development and Commercialization. Following exercise of an Option with respect to GSK Development Compounds for a Project, GSK, either itself and/or by and through its Affiliates, Sublicensees or contractors, shall be responsible for all development, manufacturing, marketing, advertising, promotional, launch and sales activities in connection with the marketing of such GSK Development Compounds and Products containing same. Except as set forth in Sections 4.4 and 4.5, all costs associated with such activities shall be borne solely by GSK.
GSK Development and Commercialization. 5.1.1 Following exercise of an Option with respect to a Dynavax Program, subject to Sections 5.2 and 5.5, GSK, either itself and/or by and through its Affiliates, Sublicensees or contractors, shall be responsible for all Research, Development, regulatory, manufacturing, marketing, advertising, promotional, launch and sales activities in connection with GSK Products containing Compounds from such Program. 5.1.2 Subject to Section 5.5.1(c), GSK shall have sole decision-making authority with respect to the Research, Development, progression, regulatory activities, manufacturing and commercialization of any Compound within a GSK Development Program, without submitting such matter to the JSC or Senior Executive Officers. GSK Development and Commercialization. (a) Subject to PROSENSA’s rights under Sections 2.4(a)(i) and 2.4(a)(ii) and Section 5.2, following the exercise by GSK of an Option with respect to a PROSENSA Collaboration Program and with respect to the Exon 51 Program pursuant to Section 4.1, GSK, either itself and/or by and through its Affiliates, Sublicensees or contractors, shall be responsible for all Research, Development, regulatory, manufacturing, marketing, advertising, promotional, launch and sales and other commercial activities in connection with Compounds and Products resulting from such Programs.
(b) Except as expressly stated in Section 3.2(d), GSK shall have sole and final decision-making authority with respect to the Research, Development, progression, regulatory activities, manufacturing, marketing, sales and other commercialization activities for any Compounds or Products within a GSK Development Program, without submitting any such matter for review or decision to the JSC or Executive Officers.
GSK Development and Commercialization. 4.2.1 Development Plan; Global Commercialization Plan; U.S. Commercialization Plan.
(a) Development Plan. In accordance with its obligations under Section 9.2, within [***] following the exercise by GSK of a GSK Program Option, for each GSK Development Compound, GSK will prepare and provide to the JSC for review and consideration pursuant to Section 2.2.1(k), a draft Development Plan for such GSK Development Compound. GSK will consider in good faith any comments provided by OncoMed.
