Gras Savoye. If the Gras Savoye Acquisition is consummated, the operations of the Sudan branch of Gras Savoye Egypt SAE (the “Sudan Branch”) are not completely shut down or divested from the operations of Gras Savoye or its Subsidiaries prior to the consummation of the Gras Savoye Acquisition such that upon and after such consummation, the Parent or any of its Subsidiaries holds at any time any legal or beneficial ownership, whether directly or indirectly, in the Sudan Branch.
