The Grantee shall invoice at least quarterly and no more often than monthly and MassCEC shall pay (each installment a \u201cGrant Installment\u201d) within forty-five (45) days of approval of the corresponding receipt of a written invoice describing the work performed with grant funds during the invoice period, corresponding program reporting, grant resource report form, any required back-up documentation, and a completed and signed Expenditure Certification (Attachment 3). Notwithstanding the foregoing: (i) Grantee shall not be permitted to invoice for work on a given phase set forth in the Program Timeline in the Scope of Work if Grantee has not yet completed the previous phase; and (ii) to the extent Grantee fails to satisfy any of the invoicing requirements set forth in this Agreement, as determined in MassCEC's sole discretion, MassCEC shall not be obligated to remit requested payment to Grantee prior to Grantee correcting invoicing deficiencies.
