Grace Periods. A grace period is a period of time past the premium due date that we will accept the monthly premium payment. Under this agreement, the grace period ends on the last day of the calendar month in which the premium is due. For example: for coverage effective July 1 through July 31, the end of the one-month grace period and the last date we will accept the premium payment is July 31. If you purchased coverage: • directly from BCBSRI the grace period is one calendar month; • through HSRI, o and you do NOT receive advance payments of tax credits, the grace period is one calendar month; o and you do receive advance payment of tax credits; the grace period is three (3) calendar months after the premium due date. Please contact HSRI for details. If you do not make payment by the end of the grace period, this agreement will end as of the last day of the grace period. This is called termination for nonpayment of premiums. Any claims incurred after the end of the grace period will be your responsibility. If you do not pay us premium you owe, we reserve the right to turn your account over to collection agency(ies) and/or report overdue balances to credit bureaus.

Grace Periods. Notwithstanding anything to the contrary herein, at any time after a Registration Statement has been declared effective by the SEC, the Company may delay the disclosure of material non-public information concerning the Company if the disclosure of such information at the time is not, in the good faith judgment of the Company, in the best interests of the Company (a “Grace Period”); provided, however, the Company shall promptly (i) notify the Holders in writing of the existence of material non-public information giving rise to a Grace Period (provided that the Company shall not disclose the content of such material non-public information to the Holders) or the need to file a post-effective amendment, as applicable, and the date on which such Grace Period will begin, and (ii) notify the Holders in writing of the date on which the Grace Period ends; provided, further, that no single Grace Period shall exceed thirty (30) consecutive days, and during any three hundred sixty-five (365) day period, the aggregate of all Grace Periods shall not exceed an aggregate of sixty (60) days (each Grace Period complying with this provision being an “Allowable Grace Period”). For purposes of determining the length of a Grace Period, the Grace Period shall be deemed to begin on and include the date the Holders receive the notice referred to in clause (i) above and shall end on and include the later of the date the Holders receive the notice referred to in clause (ii) above and the date referred to in such notice; provided, however, that no Grace Period shall be longer than an Allowable Grace Period. Notwithstanding anything to the contrary, the Company shall cause the Transfer Agent to deliver unlegended shares of Common Stock to a transferee of a Holder in accordance with the terms of the Investment Agreement in connection with any sale of Registrable Securities with respect to which a Holder has entered into a contract for sale prior to the Holder’s receipt of the notice of a Grace Period and for which the Holder has not yet settled.
Grace Periods. Upon the occurrence of a Default or an Event of Default by any Party which is subject to the grace period described in this section, such Party shall, upon written notice from another Party, proceed immediately to cure or remedy such Default and, in any event, such Default shall be cured within thirty (30) days (ninety (90) days if the Default relates solely to the date for Completion of Construction of Improvements) after receipt of such notice, or such cure shall be commenced and diligently pursued to completion within a reasonable time, not to exceed sixty (60) days, if curing cannot be reasonably accomplished within thirty (30) days (or ninety (90) days if the Default relates solely to the date for Completion of Construction of Improvements).

Grace Periods. Notwithstanding anything to the contrary herein, at any time after the Effective Date of a Registration Statement, the Company may delay the disclosure of material, non-public information concerning the Company the disclosure of which at such time is not, in the good faith opinion of the board of directors of the Company, in the best interest of the Company and, in the opinion of counsel to the Company, otherwise required to be disclosed pursuant to the Securities Act or the Exchange Act for a period of time not to exceed an aggregate of 60 days in any 12 month period (any such period, a “Grace Period”); provided, that the Company shall promptly (i) notify the Holders in writing of the existence of material, non-public information giving rise to a Grace Period, provided that in each notice the Company will not disclose the content of such material, non-public information to the Holders and the date on which the Grace Period will begin, and (ii) notify the Holders in writing of the date on which the Grace Period ends. For purposes of determining the length of a Grace Period above, the Grace Period shall begin on and include the date the Holders receive the notice referred to in clause (i) and shall end on and include the later of the date the Holders receive the notice referred to in clause (ii) and the date referred to in such notice.

For a loan with a nine-month initial grace period, the school must contact the borrower three times during the grace period. For a loan with a six-month initial grace period, the school must contact the borrower twice during that period. Most loans also have post-deferment grace periods of six months. For such a loan, the school must also contact the borrower twice during any post-deferment grace period. The chart below shows the length of initial and post-deferment grace periods for NDSLs and Xxxxxxx Loans. The school must remind the borrower of the responsibility to repay the loan and must send the borrower information about the total amount to be repaid (or remaining to be paid, if a payment has been made in the past). This information must include the amount of principal and interest over the remaining life of the loan and the due date and amount of the first payment (or next payment, if a payment has been made previously). The second contact must be 150 days after any grace period begins, when the school must again remind the borrower of the due date and amount of the first (or next) payment. The second contact is timed to coincide with the first billing notice for a loan with a six-month grace period (30 days before the first payment is due). These two notices may be combined.‌ For a borrower with a nine-month initial grace period, the school must make a third contact 240 days after the grace period begins to remind the borrower of the date and amount of the first payment. Like the second contact for a loan with a six-month grace period, this 240-day contact is timed to coincide with the first billing notice. Again, the school may combine the two notices.
