Common use of Governmental Authorizations, Etc Clause in Contracts

Governmental Authorizations, Etc. No consent, approval or authorization of, or registration, filing or declaration with, any Governmental Authority is required in connection with the execution, delivery or performance by the Company of this Agreement, the Bonds and the Supplement, other than approval of the Pennsylvania Public Utility Commission, which has been obtained and is in full force and effect and final and is non-appealable.

Governmental Authorizations, Etc. No consent, approval or authorization of, or registration, filing or declaration with, any Governmental Authority is required in connection with the execution, delivery or performance by the Company of this Agreement, Agreement or the Bonds and the SupplementNotes, other than approval the authorization of the Pennsylvania Public Utility Commission, which authorization has been duly obtained and pursuant to an order of the Commission which is in full force and effect and final effect, has not been revoked or amended, is not the subject of a pending appeal and is non-appealablelegally sufficient to authorize the offer, issuance, sale and delivery of the Notes and the execution, delivery and performance of this Agreement by the Company.
