Governmental Authority Consents. All necessary consents, approvals and authorizations of all Governmental Authorities and other parties required to be obtained by Ibis and Isis in connection with the execution and delivery of each of the Transaction Documents and the performance of their obligations hereunder and thereunder have been obtained.

Governmental Authority Consents. (i) The Borrower represents, warrants and covenants that the Borrower possesses or is the beneficiary of all material permits, licenses, authorizations, approvals and consents of governmental or public bodies or authorities, federal, state and local, including, without limitation, all material licenses, authorizations and permits relating to environmental matters (hereinafter referred to collectively as the "Governmental Consents") necessary for: (i) the activities and business of the Borrower as currently conducted and as proposed to be conducted, and (ii) the ownership, use, operation and maintenance by the Borrower of its properties and assets, and such Governmental Consents are the only Governmental Consents required for the foregoing purposes where failure to obtain such consents would have a Material Adverse Effect.
Governmental Authority Consents. Seller is not required to submit any notice, report or other filing with any governmental authority in connection with the execution or delivery by it of this Agreement or the consummation of the transactions contemplated hereby. Except as set forth in the Disclosure Schedule, no consent, approval or authorization of any governmental or regulatory authority is required to be obtained by Seller in connection with its execution, delivery and performance of this Agreement.

Reference source not found. from applicable Governmental Authorities, for Seller's performance of its obligations under this Agreement including the construction and operations (as of Substantial Completion) of the Project; which approvals, variances and permits must be final and not subject to being overturned or modified on appeal or further appeal, in each case, under statutory deadlines. If there has been any change to the Special Land Use Permit (or its equivalent as required by the Governmental Authorities), Seller has notified Buyer of the change and whether it materially adversely affects the Project during operations for Buyer's determination regarding Seller's conclusion. With respect to Consents that are not obtained prior to NTP, Xxxxx and Seller have agreed on the remaining Consents to be obtained by the earlier of Substantial Completion or the date required by the Governmental Authorities necessary for Seller's timely performance under this Agreement.

No consent, approval, Permit, Governmental Order, declaration or filing with, or notice to, any Governmental Authority is required by or with respect to Buyer in connection with the execution and delivery of this Agreement and the Transaction Documents to which it is a party and the consummation of the transactions contemplated hereby and thereby, except for such consents, approvals, Permits, Governmental Orders, declarations, filings or notices which, in the aggregate, would not have a material adverse effect on Buyer’s ability to consummate the transactions contemplated hereby.

Governmental Authority Consents. No consents of any Governmental Authority having jurisdiction over CURIS is required to be obtained by CURIS in order to authorize the execution by CURIS of this Agreement or the performance by CURIS of the terms hereof and consents, if any, required pursuant to the HSR Act.

If there has been any change to the Special Land Use Permit (or its equivalent as required by the Governmental Authorities), Seller has notified Buyer of the change and whether it adversely affects the Project for Buyer's determination regarding Seller's conclusion. With respect to Consents that cannot be obtained prior to NTP, Buyer and Seller have agreed on the remaining Consents to be obtained by the earlier of Substantial Completion or the date required by the Governmental Authorities necessary for Seller's timely performance under this Agreement.
