Governmental and Regulatory Filings. As soon as practicable, Bonds, USAB and Newco shall make all filings and submissions to any governmental agency or regulatory body which are required to be made in connection with the transactions contemplated hereby. All parties shall furnish such information and assistance as any of the parties may reasonably request in connection with the preparation of any such filings or submissions.

Governmental and Regulatory Filings. As promptly as practicable, Seller will deliver copies of all License applications and other filings made by the Company or any Subsidiary after the date hereof and before the Closing Date with any Governmental or Regulatory Authority (other than routine, recurring filings made in the ordinary course of business consistent with past practice).

Governmental and Regulatory Filings. The parties hereto shall use their commercially reasonable efforts to obtain as promptly as reasonably practicable any consents, authorizations, approvals, registrations or waivers required in connection with the consummation of the transactions contemplated by this Agreement.   • Governmental and Third Party Approvals The Credit Parties shall have received all material governmental, shareholder and third party consents and approvals necessary (or any other material consents as determined in the reasonable discretion of the Administrative Agent) in connection with the transactions contemplated by this Agreement and the other Loan Documents and the other transactions contemplated hereby and all applicable waiting periods shall have expired without any action being taken by any Person that could reasonably be expected to restrain, prevent or impose any material adverse conditions on any of the Credit Parties or such other transactions or that could seek or threaten any of the foregoing, and no law or regulation shall be applicable which in the reasonable judgment of the Administrative Agent could reasonably be expected to have such effect.

  • Regulatory Filing In the event that this Interconnection Construction Service Agreement contains any terms that deviate materially from the form included in Attachment P or from the standard terms and conditions in this Appendix 2, the Transmission Provider shall file the executed Interconnection Construction Service Agreement on behalf of itself and the Interconnected Transmission Owner with FERC as a service schedule under the Tariff.   • Reporting Obligations and Regulatory Approvals Applicable laws and regulations may require holders and beneficial owners of Shares, including the Holders and Beneficial Owners of ADSs, to satisfy reporting requirements and obtain regulatory approvals in certain circumstances.
