Government Audit. The provisions of this Section 3 notwithstanding, a ---------------- Party may disclose Confidential Information (other than information which is not required by U.S. Government regulations to be made available to U.S. Government auditors (e.g., internal audit reports) to U.S. Government auditors upon request ---- during the performance of a governmental audit or review of any U.S. Government contract of such Party in the normal course of the audit function and according to standard practices; provided that prompt notice of the disclosure of such information shall be given prior to such disclosure to the Party from which the information was obtained.

Government Audit. At any time during this contract effort, the Government reserves the right to independently audit or examine the Contractor’s and sub-contractors’ Quality Management System and Records for compliance with all contractual quality requirements. The Contractor shall ensure the necessary provisions are placed in all sub-contractor/vendor purchase orders/contracts to grant the Government access to perform these audits. The Contractor shall provide personnel and facilities to support these audits.

The Parties acknowledge and agree that, despite any provision of this Agreement to the contrary, the powers and responsibilities of the Auditor General under the Financial Management Act 2006 (FAA) are not limited or affected by this Agreement. In addition, the Minister’s requirements to report to parliament under the FAA are not fettered by this Agreement.
Government Audit. If applicable, the Seller shall be subject to any reasonable government audit requirements deemed necessary by the Federal Acquisition Regulations (FAR) or any applicable FAR supplement, such as the US Agency for International Development’s Acquisition Regulations (AIDAR), for the good and services provided under this Agreement.

Government Audit. The agreement should include the standard provision recognizing that the agreement and certain other materials will be subject to audit and inspection by certain federal authorities with regard to payments made for Medicare services.
Government Audit. Each Industry Consortium Member shall maintain adequate records to account for federal funds received under the ACCP, and shall maintain adequate records to account for ACC funding. Each Consortium Member’s relevant financial records are subject to examination or audit by the Government for a period not to exceed three (3) years after expiration or earlier termination of the ACCP. The NASA Agreement Officer or Government designee shall have access to books and records of the Consortium Members to ensure full accountability for all Government funds paid under the ACCP. Such audit, examination, or access shall be performed during normal business hours and upon reasonable prior written notice, and shall be subject to the safety and security requirements of each Consortium Member’s respective facility or facilities. In the event a Consortium Member shall elect not to provide access to the NASA Agreement Officer, or Government designee, in order to perform such examination or audit, the Consortium Member may engage the services of an independent auditor acceptable to NASA in order to perform such audit or examination and report the results to NASA without disclosing sensitive, proprietary, or other information of the Consortium Member. The costs of this independent auditor shall be paid for by the Consortium Member.
Government Audit. The provisions of Section 5.14(a) notwithstanding, a party may disclose Confidential Information (other than information which is not required by U.S. Government regulations to be made available to U.S. Government auditors (e.g., internal audit reports)) to U.S. Government auditors upon request during the performance of a governmental audit or review of any U.S. Government contract of such other party in the normal course of the audit function and according to standard practices, provided prompt notice of the disclosure of such information shall be given to the party from which the information was obtained and the party uses commercially reasonable efforts to maintain the confidential nature of the Confidential Information by protective order or other means.
