GOVERNING LAW AND SERVICE OF PROCESS. This Agreement is made in the State of Ohio and the validity, construction, interpretation and enforcement of this Agreement, and the rights of the parties thereunder shall be determined under, governed by and construed in accordance with the internal laws of the State of Ohio, without regard to principles of conflicts of law. Service of process, sufficient for personal jurisdiction in any action against the Company, may be made by registered or certified mail, return receipt requested, to the address set forth in Paragraph 25 hereof.
GOVERNING LAW AND SERVICE OF PROCESS. 29.1 Except as expressly set forth herein, this Agreement is to be governed by and construed in accordance with English law. Any matter, claim or dispute arising out of or in connection with this Agreement, whether contractual or non-contractual, is to be governed by and determined in accordance with English law, except as expressly set forth herein.
GOVERNING LAW AND SERVICE OF PROCESS. 4.1 This Agreement has been entered into and shall be construed and enforced in accordance with the laws of the State of Florida without reference to the choice of law principles thereof. This Agreement shall be subject to the exclusive jurisdiction of the federal or state courts of the State of Florida located in Broward County, Florida. The parties to this Agreement agree that any and all causes of action or claims arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Florida and irrevocably and expressly agree to submit to the jurisdiction of the courts of the State of Florida for the purpose of resolving any and all disputes relating to this Agreement.

Each of the parties irrevocably attorns to the non- exclusive jurisdiction of the courts of the Province of Ontario.

Each of the parties irrevocably attorns to the jurisdiction of the courts of the Province of British Columbia. The Company hereby irrevocably appoints Blake, Xxxxxxx & Xxxxxxx LLP as its agent for service of process in Canada in respect of such action or proceeding relating to the transactions contemplated by this Agreement and further irrevocably consents to the service of process by the mailing of copies thereof by registered or certified mail, postage prepaid, to Cassels, Blake, Xxxxxxx & Xxxxxxx LLP at its address for notices as set forth in subsection 19(a) of this Agreement, such service to become effective 10 days after such mailing. Nothing herein shall affect the right of the Underwriters to service of process in any other manner permitted by law.
