GOVERING LAW. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Nevada.

GOVERING LAW. This Indenture and the Debt Securities shall be deemed to be contracts made and to be performed entirely in the State of New York, and for all purposes shall be governed by and construed in accordance with the laws of said State without regard to the conflicts of law rules of said State.
