Common use of Global Warrants Clause in Contracts

Global Warrants. (a) The Warrants shall be registered securities and shall be evidenced by a common global warrant with respect to the Warrants (the “Common Global Warrant”) and by a pre-funded global warrant with respect to the Pre-Funded Warrants (the “Pre-Funded Global Warrant”, together with the Common Global Warrant, the “Global Warrant”), in the form of the Warrant Certificates, which shall be deposited with the Warrant Agent and registered in the name of Cede & Co., a nominee of The Depository Trust Company (the “Depositary”), or as otherwise directed by the Depositary. Ownership of beneficial interests in the Warrants shall be shown on, and the transfer of such ownership shall be effected through, records maintained by (i) the Depositary or its nominee for each Global Warrant or (ii) institutions that have accounts with the Depositary (such institution, with respect to a Warrant in its account, a “Participant”).

Ownership of beneficial interests in the Pre-Funded Warrants and Investor Warrants shall be shown on, and the transfer of such ownership shall be effected through, records maintained by (i) the Depositary or its nominee for each Global Warrant or (ii) institutions that have accounts with the Depositary (such institution, with respect to a Warrant in its account, a “Participant”).
