Gift Card Liability. The Company represents that it has a Liability for unredeemed gift cards or gift certificates, some of which may or may not have an expiration date. The amount of outstanding gift cards and gift certificates does not exceed $82,283.
Gift Card Liability. For the avoidance of doubt, notwithstanding anything to the contrary in this Agreement or any Other Agreement and regardless of whether such Liability is disclosed in the Schedules or otherwise, the Assumed Liabilities shall not include any Liability described in Section 1.3(b) or any other Liability other than the Assumed Liabilities.
Gift Card Liability. The assumption by Buyer of the gift certificate liability of the Business as set forth in Exhibit C hereto (the “Assumed Gift Card Liability”).
