GEOTHERMAL RESOURCES. To the knowledge of Borrower, the geothermal resources available to the Project Companies under the applicable Project Documents are sufficient to operate each Project in accordance with the terms of the Power Purchase Agreements and the Credit Documents and in a manner consistent with the Projections.

GEOTHERMAL RESOURCES. 4.4.2 For purposes of section 4.4.1, “fee simple” is the equivalent of an estate in fee simple absolute, being the largest estate known in Law, without any proviso, restriction, exception or reservation under any Law, except as set out in the Agreement.
GEOTHERMAL RESOURCES and that Liszicasz retains all right, title and interest in and to the SFD Technology as it may be applied in connection with all other applications (each such application a "Field of Use").
GEOTHERMAL RESOURCES. For the purposes of this Agreement, “Geothermal Resources” means a naturally occurring reservoir inside the earth from which heat can be extracted and utilized for generating electric power, or other industrial, agricultural or domestic application and includes geothermal reservoirs which may contain heat both in the solid rock as well as in the fluids that fill the fractures and pore spaces within the rock. For greater certainty, all terms and conditions set forth in the SFD Ownership Agreement shall remain of full force and effect, and currencies appear in both Canadian dollars ("Cdn.$") and United States dollars ("US$") based upon source of funds. In consideration for agreeing to the amendment to the Field of Use as set forth in the SFD Ownership Agreement, and subject to the conditions as set forth in Section E (Consideration Shares), the Company shall pay to you the following amounts, and shall provide to you the following shares:

  • Minerals All minerals, crops, timber, trees, shrubs, flowers and landscaping features now or hereafter located on, under or above Land;

  • Mineral Reserves and Resources The most recent estimated, proven and probable mineral reserves and the estimated measured, indicated and inferred mineral resources of Yamana disclosed in Yamana Documents have been prepared and disclosed in all material respects in accordance with all applicable Laws. There has been no material reduction (other than as a result of operations in the ordinary course of business) in the aggregate amount of estimated mineral reserves and estimated mineral resources of Yamana on a consolidated basis from the amounts disclosed publicly by Yamana.

  • Capital Resources Parent has sufficient cash to pay the aggregate Merger Consideration.

  • Natural Gas 21.1 Subject to Article 21.2, the Indian domestic market shall have the first call on the utilisation of Natural Gas discovered and produced from the Contract Area. Accordingly, any proposal by the Contractor relating to Discovery and production of Natural Gas from the Contract Area shall be made in the context of the Government's policy for the utilisation of Natural Gas and shall take into account the objectives of the Government to develop its resources in the most efficient manner and to promote conservation measures.

  • Gas If Customer has selected a Gas Fixed Rate, Customer’s Price will be based on the Fixed Rate(s), plus the Administration Charge, set forth in the Application, which includes RITERATE ENERGY’s compressor fuel and transportation charges, administrative and transaction costs and the Gas Balancing Amount and any Regulatory Charges (defined below).

  • Cultural Resources If a cultural resource is discovered, the Purchaser shall immediately suspend all operations in the vicinity of the cultural resource and notify the Forest Officer. Operations may only resume if authorized by the Forest Officer. Cultural resources identified and protected elsewhere in this contract are exempted from this clause. Cultural resources, once discovered or identified, are not to be disturbed by the Purchaser, or his, her or its employees and/or sub- contractors.

  • Resources Contractor is responsible for providing any and all facilities, materials and resources (including personnel, equipment and software) necessary and appropriate for performance of the Services and to meet Contractor's obligations under this Agreement.

  • Energy 1. Cooperation shall take place within the principles of the market economy and the European Energy Charter, against a background of the progressive integration of the energy markets in Europe.
