General Members. Role: The primary role of the general membership is to provide expertise, perspective and guidance to the Steering Committee on specific topics that promote the objectives of the SSMCP. Members will gather at least annually (more often, if necessary) to share best practices and receive information on changes at JBLM and Camp Xxxxxx as well as in adjacent communities. They will also be encouraged to share their insights on existing conditions and growth trends; assist in the development of the GCP and other SSMCP priority implementation; and to review any studies, products, and other information developed by staff.
General Members. General Members (“New Members”) may join the Association by entering into a Joining Agreement, in a form and under such terms as are determined by the Executive Committee (defined below) from time to time. The Founding Members, Charter Members, and General Members are sometimes referred to in this agreement individually as a “Member” and collectively as “Members.” When such references are used in a provision of this agreement, the intent is to make no distinction between Founding Members and Additional Members with respect to that provision.
General Members. General Members are those entities that wish to accelerate innovation, application, adoption, and market impact of such technologies, but who have not committed the time and resources required to become a Charter Member. General Membership dues are determined on a sliding scale based on either number of employees or assets under management according to the schedule attached to this Agreement and as updated periodically by CalCharge. General Members are entitled to the following membership benefits: • Access to the CalCharge Technology Acceleration, Professional Development, Commercialization Support, and Ecosystem Facilitation programs • Recognition on CalCharge published materialsSpecial discounts for CalCharge events and activities • Use of the CalCharge name and logo for marketing and promotional activities, subject to the terms of this Agreement.
General Members. Only public agencies that are either an incorporated city, a county, or a countywide highway district may be general members. There shall be various classes of General Member, which include:
General Members. 1. Class 1 General Members shall each select 3 Voting Board Members.
General Members. The Board of Directors shall set dues, on an annual or licensing fee basis, and may provide licensing or fee credits to Members on a fair and equitable basis. Dues for General Members who are non-profit entities or are academic or research institutions shall be set at $1,000 per annum. Dues for General Members who are governmental entities are waived.

Prior to the admission of any such additional members to the Company, the Member shall amend this Agreement to make such changes as the Member shall determine to reflect the fact that the Company shall have such additional members. Each additional member shall execute and deliver a supplement or counterpart to this Agreement, as necessary.

  • THE MEMBERS Members are the owners of the Company. Members are not entitled to compensation for services furnished to the Company in the Member’s capacity as a Member. The name and residential address of each Member is contained in Exhibit 1 attached to this Agreement. Each Member’s initial membership interest is the percentage set forth in Exhibit 1. An unauthorized transfer of a Member’s interest could create a substantial hardship for the Company. Consequently, the Members agree to the restrictions and procedures affecting the ownership and transfer of the Members’ interests as identified in Article VII. The Members acknowledge these restrictions are not intended to penalize, but rather are intended to protect and preserve the existing trust-based relationships, the Company’s capital, and the Company’s financial ability to continue its operations.

  • Members (a) A Person shall be admitted as a Member and shall become bound by, and shall be deemed to have agreed to be bound by, the terms of this Agreement if such Person purchases or otherwise lawfully acquires any Share, and such Person shall become the Record Holder of such Share, in accordance with the provisions of this Agreement. A Member may be a Class A Member, a Class B Member and or Class C Member, and, in such case, shall have the rights and obligation accorded to the Class A Ordinary Shares with respect to such Class A Ordinary Shares or the rights and obligation accorded to the Class A Preferred Shares with respect to such Class A Preferred Shares, as applicable, the rights and obligations accorded to the Class B Ordinary Shares with respect to such Class B Ordinary Shares and the rights and obligations accorded to the Class C Ordinary Share with respect to such Class C Ordinary Share. A Person may become a Record Holder without the consent or approval of any of the Members and without physical execution of this Agreement. A Person may not become a Member without acquiring a Share.

  • Substitute Members No transferee of all or part of a Member’s Membership Interest shall become a substitute Member in place of the transferor unless and until:

  • Substituted Members Subject to the provisions of Article X hereof, in connection with the Permitted Transfer of a Unit hereunder, the Permitted Transferee shall become a Substituted Member on the effective date of such Transfer, which effective date shall not be earlier than the date of compliance with the conditions to such Transfer, and such admission shall be shown on the books and records of the Company, including the Schedule of Members.
