General; JW Diligence Sample Clauses

General; JW Diligence. Subject to the terms and conditions of this Agreement, JW will be solely responsible for Commercializing Products in the Field in the JW Territory at its sole cost and expense, and will have sole discretion with respect to, Commercializing Products in the Field in the JW Territory. Upon receipt of Regulatory Approval for a Product in the Field in the JW Territory, JW (directly, or through its Affiliates and Sublicensees) will use Commercially Reasonable Efforts to Commercialize such Product in the Field in the applicable region(s) within the JW Territory.
