General Deliveries. All other documents reasonably determined by Title to be necessary to evidence that Developer has duly authorized the transactions contemplated hereby and evidence the authority of Developer to enter into and perform this Agreement and the documents and instruments required to be executed and delivered by Developer pursuant to this Agreement, or may be required of Developer under applicable law, including any Developer’s affidavits or revenue or tax certificates or statements.

General Deliveries. All other documents reasonably determined by Title Company to be necessary to transfer the Property to Developer and to evidence that HEDRA (a) has satisfied all monetary indebtedness with respect thereto, (b) has obtained such termination statements or releases from such secured creditors as may be necessary to ensure that the Property is subject to no monetary liens, (c) has obtained all consents from third parties necessary to effect HEDRA’s performance of the terms of this Agreement, including, without limitation, the consents of all parties holding an interest in the Property, (d) has provided such other documents as are reasonably determined by Title Company to be necessary to issue policies of title insurance to Developer with respect to the Property with the so-called “standard exceptions” deleted, and (e) has duly authorized the transactions contemplated hereby.
General Deliveries. Such other documents, reasonably acceptable to Imperial-Savannah and the Company in form and content, as are required under applicable law, necessary to convey the Footprint Parcels to the Company subject only to the Permitted Exceptions or reasonably required to complete the transactions contemplated in this Agreement.

General Deliveries. At the Canadian Closing, all instruments of conveyance and other documentation relating to the sale and purchase of the Canadian Assets shall be reasonably satisfactory to Canadian Purchaser and Canadian Seller, and each of Canadian Purchaser and Canadian Seller shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated by this Agreement and the taking of all corporate proceedings in connection with such transactions in compliance with these conditions, in form (as to certification and otherwise) and substance reasonably satisfactory to Canadian Purchaser or Canadian Seller, as the case may be.
