Common use of General Covenants Clause in Contracts

General Covenants. Each Party covenants that throughout the Delivery Term: (i) it shall continue to be duly organized, validly existing and in good standing under the Laws of the jurisdiction of its formation; (ii) it shall maintain (or obtain from time to time as required, including through renewal, as applicable) all regulatory authorizations necessary for it to legally perform its obligations under this Agreement and the Transaction; and (iii) it shall perform its obligations under this Agreement and the Transaction in a manner that does not violate any of the terms and conditions in its governing documents, any contracts to which it is a party or any Law, rule, regulation, order or the like applicable to it.

Each Party covenants that throughout the Delivery Term: (i) it shall continue to be duly organized, validly existing and in good standing under the Laws laws of the jurisdiction of its formation; (ii) it shall maintain (or obtain from time to time as required, including through renewal, as applicable) all regulatory authorizations necessary for it to legally perform its obligations under this Agreement and the Transaction; and; (iii) it shall perform its obligations under this Agreement and the Transaction in a manner that does not violate any of the terms and conditions in its governing documents, any contracts to which it is a party or any Lawlaw, rule, regulation, order or the like applicable to it; and (iv) it shall maintain its status as a “forward contract merchant” within the meaning of the United States Bankruptcy Code (for so long as such term has the same definition as in effect as of the date of this Agreement).

Each Party party covenants that throughout the Delivery Term: (i) Period: it shall will continue to be duly organized, validly existing and in good standing under the Laws laws of the jurisdiction of its formation; (ii) ; it shall will maintain (or obtain from time to time as required, including through renewal, as applicable) all regulatory authorizations necessary for it to legally perform its obligations under this Agreement Contract; and the Transaction; and (iii) it shall will perform its obligations under this Agreement and the Transaction Contract in a manner that does not violate in any material way any of the terms and conditions in (i) its governing documents, (ii) any contracts to which it is a party or or, (iii) any Lawlaw, rule, regulation, order or the like applicable to it.
