General Compliance with Law. Borrower shall at all times operate its business in strict compliance with all applicable Federal, State, and local laws, ordinances and regulations, and refrain from engaging in any civil or criminal activity proscribed by Federal, State or local law.

All reports and disclosures relating to the Company Plans required to be filed or furnished to any governmental entity, participants or beneficiaries prior to the Closing have been or will be filed in a timely manner and in accordance in all material respects with applicable Law except where the failure to be so filed or furnished is not reasonably likely to have a Company Material Adverse Effect.

All reports and disclosures relating to Parent Plans required to be filed or furnished to any governmental entity, participants or beneficiaries prior to the Closing have been or will be filed in a timely manner and in accordance in all material respects with applicable Law except where the failure to be so filed or furnished is not reasonably likely to have a Parent Material Adverse Effect.
General Compliance with Law. Each Party will use reasonable commercial efforts to comply with all Applicable Law relating to the exercise of rights and satisfaction of obligations under this Agreement.

Buyer shall comply with all applicable laws, including any U.S. laws and regulations, including, without limitation, U.S. export controls, U.S. economic sanctions, and anti-bribery laws (e.g., the U.S. Foreign Corrupt Practices Act, the UK Bribery Act). Buyer shall not take any actions that would cause Seller to be in violation of any of the above laws, including anti-bribery laws and U.S. export controls and economic sanctions.

Each Party hereto shall comply with all laws, rules, and regulations applicable to this Lease including, but not limited to, prevailing wage payments, payroll records, working hours and workers compensation insurance, unemployment insurance benefits, FICA laws, and City’s ordinances, including business license requirements.

Business Associate warrants that it, its agents and its subcontractors: (i) shall use or disclose PHI only in connection with fulfilling its duties and obligations under this BAA and the XXXX; (ii) shall not use or disclose PHI other than as permitted or required by this BAA or Required by Law (as defined under HIPAA); (iii) shall not use or disclose PHI in any manner that violates applicable federal and state laws or would violate such laws if used or disclosed in such manner by Covered Entity; and
