General Business Terms. All right, title and interest in any deliverables I provide to you, including any work papers, reports or other documents I prepared in the course of this engagement, will become your sole and exclusive property. I will retain sole and exclusive ownership of all right, title and interest in my work papers, proprietary information, processes, methodologies, know how and software, provided the same existed prior to the commencement of my engagement hereunder and, to the extent the same is of general application, anything which I may discover, create or develop during my provision of services but unrelated to this engagement. To the extent my reports or other documents delivered to you contain my property, I grant you a non-exclusive, royalty-free license to use it in connection with the subject of the engagement. I will fully cooperate with you in order to sign, execute, make and do all such deeds, documents, acts and things as may be required to vest any such ownership rights in your name. With respect to any information supplied in connection with this engagement and designated by either of us as confidential, or which the other should reasonably believe is confidential based on the subject matter or the circumstances of its disclosure, the other party agrees to protect the confidential information in a reasonable and appropriate manner, and use confidential information only to perform its obligations under this engagement and for no other purpose. Within 30 days after the conclusion of this engagement, you may request that I (a) return to you all documents or copies of documents that you provided to me as well as work papers, reports or other documents I prepared in the course of this engagement or (b) destroy such materials, as certified to you. If you do not timely request one of these options for disposition of materials, I may elect either option. I will have the right to retain a copy of my reports or work papers for internal use, subject to the confidentiality and non-use provisions set forth above. This engagement letter constitutes the entire understanding and agreement between us with respect to the services described above, supersedes all prior oral and written communications between us, and may be amended, modified or changed only in writing when signed by both parties. General Business Terms. 10.1. This MOU shall not be used as evidence concerning the effect, meaning or interpretation of any previous or subsequent contract between the Parties. The execution of this Agreement does not relieve the Applying Company from any of its obligation under any separate agreement, including the terms and conditions in relation to the Event which have been previously accepted by the Applying Company, a copy of which will remain attached hereto as appendix.

General Business Terms. By its signature on this Agreement, the Customer agrees to purchase and Z SYSTEMS, INC. agrees to sell, in accordance with the following terms and conditions, the equipment listed (the Equipment). Z SYSTEMS, INC. will a) sell Equipment to the Customer and b) provide warranty service for the Equipment as offered by the manufacturer (Section 14.0). The Customer further agrees to accept the Equipment and warranty service under the terms and conditions of this Agreement. The Customer further agrees with respect to the Equipment to accept the responsibility for c) its selection to achieve the Customers intended results, d) its use, and e) the results obtained therefrom. This Agreement includes equipment and services that are required to satisfy the project scope of the sales order form. Z SYSTEMS, INC. will begin work on this project upon receipt of a copy of this Agreement duly signed and executed by an agent of the Customer, specifically authorized to bind the Customer to the terms and conditions of the agreement. This agreement shall not be binding upon Z SYSTEMS, INC. until credit terms and engineering acceptance are approved by the Z SYSTEMS, INC. order administration department and senior management.

  • General Business Operations Each of the Loan Parties shall (i) preserve, renew and maintain in full force its legal existence and good standing under the Governmental Rules of the jurisdiction of its organization and each other jurisdiction where the failure to so preserve, renew or maintain could result in a Material Adverse Effect, and all of its rights, licenses, leases, qualifications, privileges franchises and other authority reasonably necessary to the conduct of its business, (ii) conduct its business activities in compliance with all Legal Requirements and Contractual Obligations applicable to such Person, (iii) keep all Property useful and necessary in its business in good working order and condition, ordinary wear and tear excepted and from time to time make, or cause to be made, all necessary and proper repairs, except, in each case, where any failure, either individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect, (iv) maintain, preserve and protect all of its rights to enjoy and use material trademarks, trade names, service marks, patents, copyrights, licenses, leases, franchise agreements and franchise registrations (v) conduct its business in an orderly manner without voluntary interruption.
