Common use of General Authority Clause in Contracts

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Basic Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Documents to which the Trust is to be a party, in each case, in such form as the Depositor shall approve, as evidenced conclusively by the Owner Trustee’s execution thereof. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Documents. The Owner Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Basic Documents.

The Owner Trustee is further authorized from time to time to take such action as the Administrator or Certificateholders recommends with respect to the Basic Documents.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, authorized to take all actions required of the Trust Issuer pursuant to the Basic Documents. The Owner Trustee is further authorized from time to time to take such action on behalf of the Issuer as the Administrator recommends Depositor directs with respect to and in accordance with the Basic DocumentsDocuments (except to the extent that this Agreement expressly requires the consent of Certificateholders for such action, in which case the Owner Trustee shall not take such action without such consent).

The Owner Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Basic Documents. The Owner Trustee acknowledges that actions to be taken by the Issuer (including under the Indenture) may be taken by the Administrator in accordance with the Administration Agreement.

General Authority. The Owner Trustee is further authorized from time to time to take such action on behalf of the Issuer as the Administrator recommends Depositor directs with respect to and in accordance with the Basic DocumentsDocuments (except to the extent that this Agreement expressly requires the consent of Certificateholders for such action, in which case the Owner Trustee shall not take such action without such consent).

The Owner Trustee is authorized and directed to execute and deliver on behalf of the Basic Issuer the Transaction Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Transaction Documents to which the Trust Issuer is to be a party, or any amendment thereto or other agreement, in each case, in such form as the Depositor shall approve, Transferor[s] approve[s] as evidenced conclusively by the Owner Trustee’s execution thereof. In addition to thereof and the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required [Transferor’s]/[Transferors’] execution of the Trust pursuant to the Basic Documentsrelated documents. The Owner Trustee is further authorized from time to time to take such action on behalf of the Issuer as is permitted by this Agreement and the other Transaction Documents and which Certificateholders representing at least 51% of the Percentage Interest of the Transferor Interest or the Administrator recommends directs in writing with respect to the Basic Transaction Documents.
