Common use of General Authority Clause in Contracts

General Authority. The Trustee is authorized and directed to execute and deliver the Basic Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Documents to which the Trust is to be a party, in each case in such form as the Depositor shall approve as evidenced conclusively by the Trustee’s execution thereof, and, on behalf of the Trust, to direct the Indenture Trustee to authenticate and deliver the Notes in the aggregate principal amount specified in a letter of instruction from the Depositor to the Trustee. In addition to the foregoing, the Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Documents. The Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Basic Documents.

The Owner Trustee is authorized and directed to execute and deliver the Basic Documents to which the Trust is to be named as a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Documents to which the Trust is to be named as a partyparty and any amendment thereto, in each case case, in such form as the Depositor Seller shall approve as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, and on behalf of the Trust, to direct the Indenture Trustee to authenticate and deliver the List Class(es) of Notes in the aggregate principal amount specified in a letter of instruction from the Depositor to the Trusteeand Aggregate Principal Amount(s). In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Documents. The Owner Trustee is further authorized from time to time to take such action as the Administrator Master Servicer recommends with respect to the Basic Documents.

The Owner Trustee is authorized and directed to execute and deliver the Basic Documents Notes, the Ownership Certificates, and the other Operative Agreements, including each Yield Maintenance Agreement, to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Documents Operative Agreements to which the Trust is to be a partyparty and any amendment or other agreement or instrument described herein, in each case in such form as the Depositor shall approve as evidenced conclusively by the Owner Trustee’s execution thereof, and, on behalf of the Trust, to direct the Indenture Trustee Securities Administrator to authenticate and deliver the Notes in the aggregate principal amount specified in a letter of instruction from the Depositor to the TrusteeNotes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Documents. The Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Basic DocumentsOperative Agreements.

The Owner Trustee is authorized and directed to execute and deliver the Basic Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Documents to which the Trust is to be a party, in each case case, in such form as the Depositor shall approve approve, as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, and on behalf of the Trust, to direct the Indenture Trustee to authenticate and deliver the any Class of Notes of any Series in the an aggregate principal amount specified in a letter of instruction from by the Depositor to the TrusteeDepositor. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Documents. The Owner Trustee is further authorized from time to time to take such action as the Trust Administrator recommends with respect to the Basic Documents.

The Trustee is authorized and directed to execute and deliver the Basic Related Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Basic Related Documents to which the Trust is to be a party, in each case in such form as the Depositor Transferor shall approve as evidenced conclusively by the Trustee’s execution thereof, and, on behalf of the Trust, to direct the Indenture Trustee Trustee, from time to time, to authenticate and deliver the Notes in the aggregate principal amount specified in a letter of instruction from the Depositor Transferor to the Trustee. In addition to the foregoing, the Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Related Documents. The Trustee is further authorized from time to time to take such action as the Transferor or the Administrator recommends with respect to the Basic Related Documents.

In addition to the foregoing, the Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Related Documents. The Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Basic Related Documents.

The Trustee is further authorized from time to time to take such action as the Transferor or the Administrator recommends with respect to the Basic Related Documents.

General Authority. In addition to the foregoing, the Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Basic Related Documents. The Except as otherwise provided in this Agreement, the Trustee is further authorized from time to time to take such action as RFS Holding or the Administrator recommends with respect to the Basic Related Documents.
