Common use of Gas Imbalances Clause in Contracts

Gas Imbalances. The Purchase Price will be adjusted upward or downward, as applicable, by (a) the net mcf amount of the Sellers’ aggregate wellhead gas imbalances as of the Effective Time multiplied by $2.125 per mcf (upward for underage and downward for overage); and (b) the mmbtu amount of any pipeline imbalances or unsatisfied throughput obligations attributable to the Sellers or the Properties as of the Effective Time multiplied by the actual settlement price per mmbtu (upward for over deliveries and downward for under deliveries).

Gas Imbalances. The Purchase Price will be adjusted upward or downward, as applicable, by (a) the net mcf amount of the Sellers’ Seller’s aggregate wellhead gas imbalances as of the Effective Time multiplied by $2.125 2.75 per mcf (upward for underage and downward for overage); and (b) the mmbtu amount of any pipeline imbalances or unsatisfied throughput obligations attributable to the Sellers Seller or the Properties as of the Effective Time multiplied by the actual settlement price $2.75 per mmbtu (upward for over deliveries and downward for under deliveries).

The Purchase Price will be adjusted upward or downward, as applicable, by (a) the net mcf amount of the Sellers’ each Seller’s aggregate wellhead gas imbalances as of the Effective Time multiplied by $2.125 2.00 per mcf (upward for underage and downward for overage); and (b) the mmbtu amount of any pipeline imbalances or unsatisfied throughput obligations attributable to the Sellers such Seller or the such Seller’s Properties as of the Effective Time multiplied by the actual settlement price per mmbtu (upward for over deliveries and downward for under deliveries).

The Purchase Price will be adjusted upward or downward, as applicable, by (a) the net mcf amount quantity (in mcf) of the Sellers’ aggregate wellhead gas imbalances as of the Effective Time multiplied by $2.125 2.00 per mcf (upward for underage and downward for overage); and (b) the mmbtu amount quantity (in mmbtu) of any pipeline imbalances or unsatisfied throughput obligations attributable to the Sellers or the Properties as of the Effective Time multiplied by the actual settlement price per mmbtu (upward for over deliveries and downward for under deliveries).

The Purchase Price will be adjusted upward or downward, as applicable, by (ai) the net mcf amount of the Sellers’ aggregate wellhead gas imbalances as of the Effective Time multiplied by $2.125 2.75 per mcf (upward for underage and downward for overage); and (bii) the mmbtu amount of any pipeline imbalances or unsatisfied throughput obligations attributable to the Sellers or the Properties as of the Effective Time multiplied by the actual settlement price per mmbtu (upward for over deliveries and downward for under deliveries) (collectively, “Gas Imbalances”).
