Further Protections. The Pledgor will pay in a timely fashion all taxes, assessments, fees or charges of any nature that are imposed in respect of the Collateral as a result of the Pledgor's ownership thereof or any action or omission on the part of the Pledgor. The Pledgor will give written notice to the Trust and the Collateral Agent of, and defend the Collateral against, any suit, action or proceeding against the Collateral or which could adversely affect the security interests granted hereunder.
