Further Amendments. Except as modified herein, the provisions of the Agreement shall remain in full force and effect. The provisions of this Amendment, including the provisions of this sentence, may not be amended, modified or supplemented, and waivers or consents to departures from the provisions of this Amendment may not be given without the written consent thereto by both Parties' authorized representative. No waiver by any Party of any default, misrepresentation, or breach of warranty or covenant hereunder, whether intentional or not, will be deemed to extend to any prior or subsequent default, misrepresentation, or breach of warranty or covenant hereunder or affect in any way any rights arising by virtue of any prior or subsequent such occurrence.
Further Amendments. Except as modified herein, the provisions of the Agreement shall remain in full force and effect. Except as provided in the Agreement, this Amendment may not be further amended or altered, and no waiver of any provision thereof shall be effective, except by written instrument executed by an authorized representative of both Parties.
Further Amendments. All provisions in the Transaction Documents in conflict with this Agreement shall be and hereby are changed to conform to this Agreement.
Further Amendments. The Lease shall be and hereby is further amended wherever necessary, even though not specifically referred to herein, in order to give effect to the terms of this Amendment.
Further Amendments. (a) Section 1.1 of the Original Intercreditor Agreement is amended as follows:
Further Amendments. Each of the parties hereto agrees to execute all such further instruments and documents and to take all such further action as the other party may reasonably require in order to effectuate the terms, conditions and purposes of this Agreement.
Further Amendments. The Employment Agreement shall further be amended wherever appropriate to reflect the changes indicated above.
Further Amendments. This Shareholders’ Agreement may only be amended, replaced, cancelled, renewed, revoked or extended by a written instrument signed by all Parties.
Further Amendments. Upon request, Landowner shall (1) amend this Agreement to include any provision reasonably requested by a proposed Lender, provided such amendment does not materially impair Landowner’s rights or substantially increase the burdens or obligations of Landowner under this Agreement, and (2) execute such estoppel certificates (certifying as to such matters as Lender may reasonably request, including, without limitation, that no default then exists under this Agreement, if such be the case) and other additional instruments reasonably requested by any Lender to evidence the status of this Agreement and Lender’s rights under this Agreement.
Further Amendments. The Contractor hereby agrees and covenants to execute any further amendment to the Contract that the New York State Education Department requires to secure the Department's approval of this Extension and Sixth Amendment Agreement and to maintain the continuity of funding.
