Common use of Full Power and Authority Clause in Contracts

Full Power and Authority. Each Party represents and warrants to the other Party that (i) it has the full right, power, and authority to enter into and perform its obligations under this Agreement, and (ii) no other contractual obligation exists that would prevent Employer from entering into this Agreement or performing its obligations under this Agreement.

Each Party represents and warrants to the other Party that (i) as of the date of signing this Agreement it has the full legal right, power, power and authority to enter into and perform its obligations under this Agreement, and (ii) no other contractual obligation exists that would prevent Employer from entering into this Agreement and to take actions, or performing its obligations under refrain or forebear from taking actions, as described herein so as to implement the provisions and intent of this Agreement.
