Full Cooperation and Information. During Disentanglement, the Parties shall cooperate fully with one another to facilitate a smooth transition of the Services being terminated from Provider to the State or the State's designated replacement provider. Such cooperation shall include the provision by Provider to the State, subject to the provisions of Section 21 hereof, of full, complete, and detailed information, as well as sufficient documentation regarding the Disentanglement Assets, the Managed Assets, and the information residing on the Network that pertains exclusively to, or is necessary for, the provision of Services (including all information then being utilized by Provider) to enable the State's personnel (or that of third-parties) to fully assume the Disentangled Assets. Provider shall destroy all copies of such information and documentation not turned over to the State. Notwithstanding the foregoing, Provider may retain one (1) copy of all data within the Network relating to the Services, for archival purposes or warranty support, provided that it is held in a secure and confidential manner.

Upon Disentanglement, the parties shall cooperate fully with one another to facilitate a smooth transition of Services from Contractor to Client or Client's designated replacement provider. Such cooperation shall include the provision (both before and after the cessation of Contractor's providing of all or any part of the Services) by Contractor to Client of sufficient information (including all information then being utilized by Contractor) to enable Client's personnel (or that of third parties) who are reasonably skilled in the provision of services similar to the Services, to fully assume and continue the provision of the Services.

Upon Disentanglement, the parties shall cooperate fully with one another to facilitate a smooth transition of the services being terminated from Contractor to SANDAG or the SANDAG’s designated replacement provider. Such cooperation shall include the provision (both before and after the cessation of Contractor’s providing all or any part of the services under this Agreement) by Contractor to SANDAG of full, complete, detailed, and sufficient information (including all information then being utilized by Contractor) to enable SANDAG’s personnel (or that of third parties) to fully assume and continue without interruption the provision of the services.

The Parties shall cooperate fully with one another during Disentanglement to facilitate a smooth transition of the applicable Services from Vendor to the Commonwealth or the Commonwealth’s designated service-provider. Such cooperation shall include the provision (both before and after the cessation of Vendor’s providing of all or any part of the terminated Services under this Agreement) by Vendor to the Commonwealth of sufficient information (including all information then being utilized by Vendor) to enable qualified personnel of the Commonwealth or its designee to fully assume and continue the provision of such Services without material interruption or material adverse impact upon the Commonwealth.

Upon Disentanglement, the Parties shall cooperate fully with one another to facilitate a smooth transition of the Services being terminated from Provider to Investors or Investors’ designated replacement supplier. Such cooperation shall include the provision (both before and after the cessation of Provider’s providing all or any part of the Services under this Agreement) by Provider to Investors of complete, detailed, and sufficient information (including information then being utilized by Provider in providing the Services but excluding Provider’s Internal Confidential Information) for the period of the Disentanglement (up to twelve (12) months) and for up to two (2) months thereafter to enable Investors’ personnel (or that of third parties) to completely assume and continue without any material interruption the provision of the Services.

The Parties shall cooperate fully with one another and the County’s designated replacement provider to facilitate a smooth transition of the Terminated Services being terminated from Contractor to the County or the County’s designated replacement provider. Such cooperation shall include the provision (both before and after the cessation of Contractor’s providing all or any part of the Terminated Services under this Agreement) by Contractor to the County of full, complete, detailed, and sufficient information (including all information then being utilized by Contractor) to enable the County’s personnel (or that of third parties) to fully assume and continue without interruption or adverse impact the provision of the Terminated Services.
Full Cooperation and Information. 9.5.1.1 Upon Disentanglement, the Parties shall cooperate fully with one another to facilitate a smooth transition of the Services being terminated from Contractor to County or the County’s designated replacement provider.
Full Cooperation and Information. During the Transition Services Period, the Concessionaire shall cooperate with the MTA, the MTA's Authorized Vendors and the Successor Concessionaire to assist and effect a smooth transition, with no material interruption or negative impact to: (i) the Communications System; (ii) the Services; (iii) the MTA's activities; and (iv) related services provided by Third Parties. Such cooperation shall include the provision by the Concessionaire to the MTA of reasonably full, complete, detailed and sufficient information (including all information then being utilized by the Concessionaire) to enable the MTA (or the Successor Concessionaire) to fully assume responsibility for the provision of the Services, all without interruption of the Services or deviation of the Communications System from the applicable Performance Requirements.
Full Cooperation and Information. The Parties will cooperate fully with one another during Disentanglement (in general, to the same [*****] Confidential — Subject to Nondisclosure Obligations SPRINT AND SUPPLIER CONFIDENTIAL extent as their cooperation prior to entering into this Agreement) to facilitate a smooth transition of the applicable Services from Supplier to Sprint or Sprint’s designated service provider. Such cooperation will include the provision (both before and after the cessation of Supplier’s providing of all or any part of the terminated Services under this Agreement) by Supplier to Sprint of sufficient information (including all information then being utilized by Supplier, including the descriptions of Listed Highly Competitive Applications required by Section 12.5.1, but excluding the Listed Highly Competitive Applications themselves) to enable Sprint’s personnel (or that of third parties) who are reasonably skilled in the provision of services similar to the Services, to fully assume and continue the provision of such Services.
