Common use of Freedom to Contract Clause in Contracts

Freedom to Contract. The Executive represents and warrants that the Executive has the right to enter into this Agreement and that the Executive is eligible for employment by the Company. The Executive further agrees to hold the Company and its Affiliates harmless from any and all liability arising out of any contractual obligations entered into by the Executive that would prevent the Executive from performing the services the Executive is required to perform under this Agreement.

Freedom to Contract. The Executive represents and warrants that the Executive has the right to enter into this Agreement and Agreement, that the Executive is eligible for employment by the CompanyCompany and that no other written or verbal agreements exist that would be in conflict with or prevent performance of any portion of this Agreement. The Executive further agrees to hold the Company and its Affiliates harmless from any the Bank and all liability arising out that no other written or verbal agreements exist that would be in conflict with or prevent performance of any contractual obligations entered into by the Executive that would prevent the Executive from performing the services the Executive is required to perform under portion of this Agreement, including restrictive covenants. Executive represents and warrants that he has not made and will not make any contractual or other commitments that do or would conflict with or prevent Executive’s performance of his obligations hereunder, including agreements not to compete, agreements not to solicit and/or confidentiality agreements.

The Executive further agrees this Agreement does not breach, interfere with or conflict with any other contractual agreement, covenant not to hold the Company and its Affiliates harmless from any and all liability arising out compete, option, right of any contractual obligations entered into by the Executive that would prevent the Executive from performing the services the Executive is required to perform under this Agreementfirst refusal, or other existing business relationship.
