Free Goods. 10.01. No royalties shall be payable with respect to records given away or furnished on a “no charge” basis to one-stops, rack jobbers, distributors, dealers, radio stations, television stations or film companies, theatrical hooking agencies, print media, music publishers or the like, provided that such records do not exceed one hundred (100) non-royalty bearing Singles out of every one thousand (1,000) Singles distributed and one hundred (100) non-royalty bearing Albums out of every one thousand (1,000) Albums. Any record sold for less than fifty percent (50%) of G2’s published wholesale price will be a non-royalty bearing record.
Free Goods. Distributor shall have the right to give-away as free goods a quantity of the Licensed Article(s) per year equal to a maximum of ** of the gross Collections sold during the prior year of this Agreement. Said free goods shall be used by Distributor to market and promote the Licensed Article(s) to retailers and other potential purchasers of the Licensed Article(s).
Free Goods a. Licensee shall deliver free of charge to Licensor on request, such an amount of Endorsed Products as is deemed necessary by Licensor for its own reasonable promotional purposes, not to exceed the wholesale value of $2,500.00 per Contract Year.
Free Goods. ZO SKIN HEALTH will provide xxx of Net Sales as Free Goods and Related Products and collaterals in the first year of this Agreement; for each year thereafter, the above percentage shall be xx.
Free Goods. Distributor will not dispose of more than the amount of Videograms set forth in the Deal Terms as promotional, discount, or free samples ("Free Goods") without Notice of Licensor's prior approval. Any sale, rental or other disposition of Videograms beyond such amount will be considered as if sold at not less than the Minimum Wholesale Price in the Deal Terms for purposes of computing any amounts due Licensor.
Free Goods. Subject to the terms and conditions of this Agreement, BD may, at its sole discretion, provide a number of Products to Distributor at no cost ("Free Goods"), the value of which shall be disclosed by BD to Distributor in BD's invoice or otherwise. Distributor shall only distribute and provide Free Goods (including any free meters supplied pursuant to Section 2.4 below) at no cost to Eligible Patients. BD shall not be responsible hereunder for any delay in delivery or failure to deliver caused by the occurrence of any force majeure event as described in Section 14.4 hereto.
Free Goods. Distributor shall not xxxx any Third Party or charge any Eligible Patient for Free Goods received from BD. In addition, Distributor and the Eligible Patients shall not be eligible for any BD mail-in rebates or trade-in offers associated with any Product. Distributor represents and warrants that Free Goods provided under this Agreement shall be provided only to Eligible Patients.
Free Goods. Upon Supplier’s request, MWI may agree to distribute free, promotional or no-cost Products, including samples and replacement products (collectively, “Free Goods”), in MWI’s sole discretion. In the event MWI distributes any Free Goods pursuant to Supplier’s request, Supplier agrees to issue a reimbursement to MWI for (a) any and all amounts paid or payable by MWI for the Free Goods, and (b) any mutually agreed upon logistics fee or other compensation. The reimbursement for Free Goods shall be due within 30 days of the date of Supplier’s receipt of MWI’s report of monthly Sales Data and the shipment details of all distributed Products and is subject to MWI’s right to setoff. Free Goods. The term "Free Goods" represents offering a retailer the first case at no charge to the retailer for new distribution of that item. If a vendor chooses to offer new placement allowances or "free goods" they are offered to all customers on an equal and proportionate basis as one case for new distribution. If free goods are offered (either in full case or Y2 case quantities), KF will bill-back by store for free good placement via the VCR monthly. A bill-back will be generated to each supplier at KF's adjusted case cost, plus a minimal 18% handling fee to help offset KF's expense to warehouse, pick, palletize, ship, merchandise, and stock the product at store level, Free good offer status is placed into the KF system for electronic billing. This offer will eliminate additional handling costs with KF. If free goods are offered only to special retailers and not for all stores through the KF system for electronic billing, because of retailer's policies the supplier may be billed at KF's selling price to retail (versus KF's adjusted case cost only). Free Goods. A. EPRO agrees to provide PDS up to *** grams of both R-enantiomer and S-enantiomer of Dotap Chloride free of charge, upon written request for its own proper use, in good faith, to promptly and efficiently develop Licensed Products in the Field of Use.
