Fraud and Dishonesty. My commission of a willful act of fraud, embezzlement or misappropriation of any money or properties of the Company or its affiliates (other than an insubstantial and unintentional misappropriation that has been remedied within 10 days after the Company provides me with notice of such misappropriation).

Intellectual Property (IP) All IP provided by SMUD or TRC Companies shall remain the sole and exclusive property of providing party. SMUD is and shall be, the sole and exclusive owner of all right, title and interest throughout the world in and to all patents, copyrights, trademarks, trade secrets and other intellectual property rights therein. In no event shall Contractor use, publish, reproduce, display, distribute copies of, or prepare derivative works based upon SMUD or TRC Companies’ IP or any items developed by SMUD or its subcontractors without SMUD’s prior written approval. At the termination of this Agreement, Contractor shall return all Intellectual Property to SMUD.
