Franchise Ordinance. In connection with this Agreement, the Town has granted to Licensee a franchise to operate a personal communications service in the Town of Chapel Hill pursuant to that certain Ordinance Granting A Franchise to Xxxx South Carolinas PCS Limited Partnership to Provide Telephone Services In Xxx Xxxx xx Xxxxxx Xxxx (00-0-00/0-0)(xxx Xxxxxxxxx Ordinance), the terms and conditions of which have been accepted by Licensee. The Town and the Licensee agree that this Agreement shall automatically terminate upon termination of the Franchise Ordinance.
Franchise Ordinance. Seller shall adopt the Franchise Ordinance prior to the Closing Date. Buyer’s obligations under the Franchise Ordinance are a part of the consideration provided to Seller in exchange for this Agreement and the transactions contemplated by this Agreement. Nothing in this Agreement shall be deemed or construed to transfer or assign to Buyer any of Seller’s rights under the Franchise Ordinance or to eliminate or limit any of Buyer’s duties or obligations under the Franchise Ordinance.
Franchise Ordinance. The Portland City Council shall have duly approved of an ordinance approving the transfer of the Franchise to Purchaser, and no referendum petition seeking to reverse that approval shall have been timely filed, or if timely filed, such referendum shall have been finally resolved in favor of the approving ordinance, without right of appeal (the “Franchise Ordinance”).
Franchise Ordinance. Execution by the County of Xxxxxx of a franchise ordinance for GSWC’s construction, maintenance and operation of water infrastructure within Xxxxxx County’s rights-of-way as necessary to provide water utility service within Xxxxxx County, which is substantially the same as the [Draft] Franchise Ordinance attached to this Agreement as Exhibit E.
Franchise Ordinance. The document, which grants a franchise pursuant to Article II, Chapter 30 of the Nags Head Town Code of Ordinances.
