In lieu of such fractional shares the Company CORPORATION shall make a cash payment therefor therefore based on upon the fair market value Fair Market Value (as defined below) of the Common Stock on the date of exercise exercise. For the purposes of this Section 7 hereof “Fair Market Value” of a share of Common Stock as reasonably determined in good faith by the Company's Board of Directors.a particular date means:
