Form of Management Agreement. During the Due Diligence Period, Manager and Buyer shall use good faith efforts to negotiate the form of a management agreement (the “Form of New Management Agreement”) pursuant to which Manager will continue to operate each Property after Closing, which Form of New Management Agreement will then be duplicated to create the new management agreement for each Property (each, a “New Management Agreement”) in substantially the form of the Form of New Management Agreement. Sellers and Buyer acknowledge and agree that each of the New Management Agreements for the respective Properties shall be executed by the Manager and Buyer’s designee for each Property.
