For purposes of this Agreement, "Cause definition

For purposes of this Agreement, "Cause means: (a) the Employee's conviction of any crime (whether or not involving the Company) other than unintentional motor vehicle felonies; (b) any intentional act of theft, fraud or embezzlement by the Employee in connection with his work with the Company; (c) Employee's continuing, repeated or willful failure or refusal to perform his duties and services under this Agreement (other than due to his incapacity due to illness or injury); or (d) the Employee's violation of Section 3 of this Agreement. If the Company terminates the Employee's employment for Cause at any time (regardless of whether or not the Company experiences a Change of Control), the Employee shall not be entitled to any compensation or benefits following the date of such termination, other than compensation and benefits required to be paid or provided by law and payment of the Employee's normal post-termination benefits in accordance with the Company's retirement, insurance and other benefit plans and arrangements.
For purposes of this Agreement, "Cause means: (a) the willful and continued failure of the Executive to perform substantially his duties and responsibilities for the Company (other than any such failure resulting from a Disability) after a written demand by the Board for substantial performance is delivered to the Executive by the Company, which specifically identifies the manner in which the Board believes that the Executive has not substantially performed his duties and responsibilities, which willful and continued failure is not cured by the Executive within thirty (30) days of his receipt of said written demand; (b) the conviction of, or plea of guilty or nolo contendere to a felony; or (c) fraud, dishonesty, competition with the Company, unauthorized use of any of the Company's or any subsidiary's trade secrets or confidential information, or gross misconduct which is materially and demonstratively injurious to the Company. Termination under sections 11(c)(i)(b) and 11(c)(i)(c) above shall not be subject to cure.

  • For purposes of this Agreement, "Cause" means (i) an action taken by the Executive involving willful and wanton malfeasance involving specifically a wholly wrongful and unlawful act, or (ii) the Executive being convicted of a felony.

  • For purposes of this Agreement Cause" shall mean:

  • Constructive Termination Without Cause means the termination of the Executive’s employment at his initiative after, without the Executive’s prior written consent, one or more of the following events:

  • Termination for Cause or "Cause" shall mean personal dishonesty, incompetence, willful misconduct, breach of fiduciary duty involving personal profit, intentional failure to perform stated duties, willful violation of any law, rule or regulation (other than traffic violations or similar offenses), or final cease and desist order, or any material breach of this Agreement, in such case as measured against standards generally prevailing at the relevant time in the savings and community banking industry.   • Voluntary Termination for Good Reason means that the Executive voluntarily terminates his employment after any of the following are undertaken without Executive’s express written consent:

  • Good Reason Termination means a termination of employment or service initiated by the Participant upon or after a Change of Control upon one or more of the following events:

  • Term of this Agreement means the term of the current collective agreement between the Board and the Association;

  • Termination Without Cause means termination by the Company other than due to the Executive’s death or disability or Termination With Cause.

  • For Cause means:

  • Termination of parental rights means the permanent elimination of all parental rights and duties, including residual parental rights and duties, by court order.

  • Termination Upon a Change in Control means a termination of Officer’s employment with Corporation within 12 months following a “Change in Control” that constitutes a Termination Other Than For Cause described in Section 2.1(b).

  • Termination for Just Cause means termination because of Executive’s personal dishonesty, incompetence, willful misconduct, breach of fiduciary duty involving personal profit, intentional failure to perform stated duties, willful violation of any law, rule or regulation (other than traffic violations or similar offenses) or final cease-and-desist order, or material breach of any provision of this Agreement.

  • Involuntary Termination Without Cause means Executive’s dismissal or discharge other than for Cause. The termination of Executive’s employment as a result of Executive’s death or disability will not be deemed to be an Involuntary Termination Without Cause.

  • Stated Termination Date means December 31, 2000.

  • Probable cause means that there is a substantial objective basis for believing that, more likely than not, an offense has been committed and a person to be arrested has committed it.

  • Termination of Services means Participant’s Termination of Consultancy, Termination of Directorship or Termination of Employment, as applicable.

  • Child with a disability means a child who, by reason of any of the following, needs special education and related services:
