Value2 = Salary Point value above the breakpoint. Example: In 2018‐19 a Member with a Base Salary of $121,000 in the previous year is awarded 2.4 Salary Points. The breakpoint is $122,274. At $1,361 per point, 0.936 Salary Points (calculated as (122,274 ‐121,000) ÷ 1,361) would be required to increase the Member’s salary to the breakpoint of $122,274.   • The Limited Liability Company The Members have created a limited liability company: The operations of the Company shall be governed by the laws located in the State of Governing Law and in accordance with this Agreement as follows:

  • SBC-12STATE 47.1.1 The terms contained in this Agreement and any Appendices, Attachments, Exhibits, Schedules, and Addenda constitute the entire agreement between the Parties with respect to the subject matter hereof, superseding all prior understandings, proposals and other communications, oral or written between the Parties during the negotiations of this Agreement and through the execution and/or Effective Date of this Agreement. This Agreement shall not operate as or constitute a novation of any agreement or contract between the Parties that predates the execution and/or Effective Date of this Agreement.
