FleetBoston Financial Corporation a Rhode Island corporation (the "Company"), confirms its agreement with each of you with respect to the issue and sale by the Company of up to $4,000,000,000 aggregate principal amount of its Senior Medium-Term Notes, Series T and Subordinated Medium-Term Notes, Series U (respectively, the "Senior Notes" and the "Subordinated Notes"), Due Nine Months or More from Date of Issue (collectively, the "Notes"). The Senior Notes are to be issued under an indenture dated as of December 6, 1999, between the Company and The Bank of New York (the "Senior Trustee"), as trustee (the "Senior Indenture").
