First Quality Clause Samples
First Quality. Licensee shall ensure that all Articles sold under the Licensed M▇▇▇ sold or otherwise distributed hereunder are of first quality only and shall remove the Licensed M▇▇▇ from any Articles to be sold as “seconds” or as “irregulars.”
First Quality. Licensee may market, sell and distribute first quality, in season Products only to: (i) the retailers listed on Exhibit D as in effect at the time and (ii) LS&CO. and its affiliates. Licensee shall not market, sell or distribute first quality, in season Products to any retailer listed on Exhibit E1 without LS&CO.'s prior written approval. Licensee acknowledges that LS&CO. may at its sole discretion, during discussion of the Sales Plan or otherwise, determine that certain Products may be sold by Licensee only to selected retailers listed on Exhibit D.
First Quality. Licensee may market, sell and distribute first quality, in season Products only to: (i) the public and/or private golf courses, resorts, and offcourse golf specialty retailers listed on EXHIBIT D as in effect at the time and (ii) LS&CO. and its affiliates. Licensee shall not market, sell or distribute first quality in season Products to any retailer listed on EXHIBIT E without LS&CO.'s prior written approval. Licensee acknowledges that LS&CO. may at its sole discretion, during discussion of the Sales Plan or otherwise, determine that certain Products may be sold by Licensee only to selected retailers listed on EXHIBIT D.
First Quality. Seller represents and warrants that all completed ------------- work in process, piece goods and raw materials that are to be delivered to Buyer pursuant to this Agreement will be first quality only.
