Common use of Financing Assistance Clause in Contracts

Financing Assistance. Prior to the Closing, the Company shall, and shall cause each Company Subsidiary to, and shall use its commercially reasonable efforts to cause the Company Representatives to, provide such cooperation as may be reasonably requested by Parent and Merger Sub and the applicable borrowers under the Debt Financing Commitments in connection with the arrangement of the Financing, including:

Financing Assistance. Prior to the Closing, the Company shall, and shall cause each Company Subsidiary to, and shall use its commercially reasonable best efforts to cause the Company Representatives to, provide such to Parent and Merger Sub cooperation as may be reasonably requested by Parent and or Merger Sub and the applicable borrowers under the Debt Financing Commitments in connection with the arrangement of the Financing, including:

Prior to the Closing, the Company shall, and shall cause each wholly-owned Company Subsidiary to, and shall use its commercially reasonable best efforts to cause the Company Subsidiaries (other than those that are wholly-owned by the Company) and Company Representatives to, at Parent's sole cost and expense, provide such to Parent cooperation as may be reasonably requested by Parent and Merger Sub and the applicable borrowers under the Debt Financing Commitments in connection with with, and customary for, the arrangement of the Financing, including:
