Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Section 3.17 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Company and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 Schedule 3.21 of the Company Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker finder or financial advisor for Seller or the Stockholders, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment from Seller or the Company in connection with the Transactionrespect thereof.

Financial Advisors. Except as set forth on in Section 3.17 3.5 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for either Seller or in connection with the Company transactions contemplated by this Agreement, and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment from Seller or the Company in connection with the Transactionrespect thereof.

Financial Advisors. Except as set forth on Section 3.17 3.21 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller the Sellers or the Company Group Companies and no Person other than those Persons set forth on Section 3.17 3.21 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller based on the arrangements made by the Sellers or the any Group Company in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 4.19 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Company Companies and no Person other than those Persons set forth on Section 3.17 4.19 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company Companies in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 4.29 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker finder or financial advisor for Seller the Selling Stockholders or the Company in connection with the transactions contemplated by this Agreement and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment from Seller or the Company in connection with the Transactionrespect thereof.

Financial Advisors. Except as set forth on Section 3.17 3.21 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or on behalf of the Equityholders or the Company Group Companies and no Person other than those Persons set forth on Section 3.17 3.21 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or based on the arrangements made by the Equityholders, the Company or any of the Company Subsidiaries in connection with the TransactionTransactions.

Financial Advisors. Except as set forth disclosed on Section 3.17 SCHEDULE 3.26 of the Company Disclosure Schedule, no Person has acted, acted directly or indirectly, indirectly as a broker, finder, agent, investment banker finder or financial advisor for Seller or the Company or any of the Sellers in connection with the negotiations relating to the transactions contemplated by this Agreement or by the other Transaction Documents, and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company in connection with or any of the TransactionSellers.

Financial Advisors. Except as set forth on Section 3.17 4.10 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Company such Blocker and no Person other than those Persons set forth on Section 3.17 4.10 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company such Blocker in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 5.20 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller the Sellers or the Company Fairway Group Companies and no Person other than those Persons set forth on Section 3.17 5.20 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Sellers, the Company or any of the Operating Subsidiaries in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 3.18 of the Company Sellers’ Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Company Sellers and no Person other than those Persons set forth on Section 3.17 3.18 of the Company Sellers’ Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company Sellers in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 3.22 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller the Sellers or the Company Group Companies and no Person other than those Persons set forth on Section 3.17 3.22 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or based on the arrangements made by the Sellers, the Company or any of the Company Subsidiaries in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 3.7 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker finder or financial advisor for such Seller or in connection with the Company transactions contemplated by this Agreement and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment from Seller or the Company in connection with the Transactionrespect thereof.

Financial Advisors. Except as set forth on Section 3.17 4.26 of the Company Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker finder or financial advisor for Seller the Company, any of its Subsidiaries or any of the Sellers or the Company Owners in connection with the transactions contemplated by this Agreement, and no such Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company or any of its Subsidiaries in connection with the Transactionrespect thereof.

Financial Advisors. Except as set forth on Section 3.17 3.20 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Stockholders, the Company or its Subsidiaries and no Person other than those Persons set forth any Person identified on Section 3.17 of the Company Disclosure such Schedule is entitled to any fee or commission or like payment from Seller or the Stockholders, the Company or its Subsidiaries in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 4.20 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller or the Equity Holders, the Company or its Subsidiaries, and no Person other than those Persons set forth on Section 3.17 4.20 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Equity Holders, the Company or its Subsidiaries in connection with the Transaction.

Financial Advisors. Except as set forth on Section 3.17 4.24 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker or financial advisor for Seller the Sellers or the Company and no Person other than those Persons set forth on Section 3.17 4.24 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller based on the arrangements made by the Sellers or the Company in connection with the TransactionTransactions.

Financial Advisors. Except as set forth on in Section 3.17 3.04 of the Company Seller Disclosure ScheduleSchedules, no Person has acted, directly or indirectly, as a broker, finder, agent, investment banker finder or financial advisor for Seller or Sellers in connection with the Company Transactions and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is entitled to any fee or commission or like payment from Seller or the Company in connection with the Transactionrespect thereof.
