Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except for Xxxxxxx, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company.

Financial Advisors. Except for Xxxxxxx, no No agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the CompanyInvestor, directly or indirectly, in connection with the transactions transaction contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the CompanyAgreement.

Financial Advisors. Except for Xxxxxxx, no No agent, broker, investment banker, finder, financial advisor or other Person person acting on behalf of the Purchaser or under its authority is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Companyfee, directly or indirectly, in connection with the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the CompanyPurchaser.

Except for Xxxxxxxas disclosed on Schedule 4.22, no agent, broker, investment banker, finder, financial advisor or other Person person acting on behalf of the Company or under its authority is or will be entitled to any broker’s 's or finder’s 's fee or any other commission or similar fee from the Companyfee, directly or indirectly, in connection with the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company.

Except for Xxxxxxx, no No agent, broker, investment banker, finder, financial advisor or other firm or Person is or will be entitled to any broker’s or finder’s fee or any other similar commission or similar fee from the Company, directly or indirectly, in connection with any of the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, upon arrangements or understandings made by or on behalf of Parent, other than any agent, broker, investment banker, financial advisor or other firm or Person the Companyfees and expenses of which shall be paid by Parent or the Surviving Corporation.

Except for XxxxxxxXxxxxxx & Company, LLC and Conexus Capital Advisors, Inc., no agentbroker, brokerfinder, investment banker, finder, financial advisor or other Person is or will be entitled to any brokerbrokerage, finder’s or finder’s other similar fee or any other commission commission, or similar fee from the Company, directly or indirectlyreimbursement of expenses in connection therewith, in connection with the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof Transactions based in any way on agreements, upon arrangements or understandings made by or on behalf of the Company.

Financial Advisors. Except for Xxxxxxx, no No agent, broker, investment banker, finder, financial advisor or other Person person acting on behalf of any Seller or under its respective authority is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Companyfee, directly or indirectly, in connection with the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Companyany Seller.

Financial Advisors. Except for XxxxxxxXxxxxxxxx & Company, Inc., no agent, broker, investment banker, finder, financial advisor or other firm or Person is or will be entitled to any broker’s or finder’s fee or any other similar commission or similar fee from the Company, directly or indirectly, in connection with any of the transactions contemplated by this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Company in respect thereof based in any way on agreements, upon arrangements or understandings made by or on behalf of the CompanyParent.

Financial Advisors.
