Common use of Financial Advisors Clause in Contracts

Financial Advisors. (a) Except as set forth on Exhibit F attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder and/or the Corporation in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

Financial Advisors. (a) Except as set forth on Exhibit F attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder Shareholders and/or the Corporation in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

Financial Advisors. (a) Except as set forth on Exhibit F I attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder Business Contribution Member and/or any of the Corporation Shareholders in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

Financial Advisors. (a) Except as set forth on Exhibit F I attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder and/or the Corporation Business Contribution Member in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

Financial Advisors. (a) Except as set forth on Exhibit F attached hereto, no No person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder and/or the Corporation in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related AgreementsAgreement; and

Financial Advisors. (a) Except as set forth on Exhibit F attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor (not including attorneys and accountants providing legal and accounting services and not acting as a broker or finder) for or to any of the Shareholder Shareholders and/or the Corporation or (to the knowledge of the Shareholders) Deadline Express in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related AgreementsAgreements or the Corporation's acquisition of Deadline Express; and

Financial Advisors. (a) Except as set forth on Exhibit F attached hereto, no person or entity No Person has acted directly or indirectly as ------------------ a broker, finder or financial advisor for or to the Shareholder and/or Company, the Corporation LLC or any of the Shareholders in connection with the negotiations relating to or the transactions contemplated by this Agreement, and (b) no Person is entitled to any fee or commission or like payment, or expense reimbursement, in respect of this Agreement or any of the Related Agreements; andtransactions contemplated hereby, based in any way on agreements, arrangements or understandings made by or on behalf of the Company, the LLC or any of the Shareholders.

(a) Except as set forth on Exhibit F attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Sole Shareholder and/or the Corporation in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

(a) Except as set forth on Exhibit F I attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor for or to the Shareholder Business Contribution Member and/or the Corporation Shareholder in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and

(a) Except as set forth on Exhibit F I attached hereto, no person or entity has acted directly or indirectly as a broker, finder or financial advisor adviser for or to the Shareholder Business Contribution Member and/or any of the Corporation Members in connection with the negotiations relating to or the transactions contemplated by this Agreement or the Related Agreements; and
