Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 5.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.24, no Person has acted, directly or indirectly, as a broker, broker or finder or financial advisor for Buyer the Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on in Schedule 5.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof. The Purchaser shall be responsible for the fees or commissions of any Person listed on Schedule 5.6.

Financial Advisors. Except as set forth on Schedule 5.64.26, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company or the Subsidiaries in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers in connection with the transactions contemplated by this Agreement and no Agreement. No Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.63.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Selling Member in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.28, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Selling Members or the Company in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Seller Schedule 5.65.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Except as set forth on Schedule 5.66.5 hereto, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or any of its Subsidiaries in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.66.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.22, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.63.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.7, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.63.25, no Person person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.12 of the Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or any of its Affiliates in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or finders’ fee, brokerage commission or like payment similar compensation from the Company in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.66.7, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement hereunder and no Person is entitled to any fee or commission or like payment in respect thereof. Seller is not and will not become obligated to pay any fees, commissions or like payments to any of the Persons listed on Schedule 6.7.

Financial Advisors. Except as set forth on in Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement Agreement, and no other Person is entitled to any fee or commission or like payment in respect thereofthereof through Purchaser. Purchaser shall be responsible for the fees or commissions of any Person listed on Schedule 5.6.

Financial Advisors. Except as set forth on Schedule 5.65.14, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.64.32, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Seller Parties or the Company in connection with the transactions contemplated by this Agreement Transactions and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer either Stratus or Merger Sub in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers or any Purchased Entity in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any of the Debtors in connection with the transactions contemplated by this Agreement and no Agreement. No Person listed on Schedule 4.17 is entitled to any fee or commission or like payment from Parent or Purchaser in respect thereof.

Financial Advisors. Except as set forth on in Schedule 5.65.21, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers or any of their Subsidiaries in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.23, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Sellers or the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.64.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company or any Company Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.64.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.10, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Except as set forth on Schedule 5.65.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person Purchaser is entitled not or will not become obligated to pay any fee or commission or like payment in respect thereofto any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliates.

Financial Advisors. Except as set forth on Schedule 5.63.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.66.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.64.21, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers in connection with the transactions contemplated by this Agreement Agreement, and no other Person is entitled to any fee or commission or like payment in respect thereofthereof through Sellers. Sellers shall be responsible for the fees or commissions of any Person listed on Schedule 4.21.

Financial Advisors. Except as set forth on Schedule 5.66.5 hereto, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof. All fees of, commissions of, and payments to, the Persons set forth on Schedule 6.5 shall be borne exclusively by Purchaser.

Financial Advisors. Except as set forth on Schedule 5.66.9 hereto, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Company in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.6Section 5.8 of the Purchaser Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Buyer in connection with the transactions contemplated by this Agreement Purchaser or its Affiliates and no Person is entitled to any fee or commission or like payment from Purchaser or its Affiliates in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 5.63.7, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller, Company or Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.19, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Selling Stockholder or the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.20 of the Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Sellers or the Company in connection with the transactions contemplated by this Agreement and no Person other than Xxxxxxx Xxxxx is entitled to any fee or commission or like payment from the Company in respect thereof.

Except as set forth on Schedule 5.64.12, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer either Parent or Merger Sub in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.6in Section 5.6 of the Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or any of the Subsidiaries in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.5 hereto, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no other Person is entitled to any fee or commission or like payment in respect thereof. All fees, commissions and payments of the Persons set forth on Schedule 5.5 shall be borne exclusively by Purchaser.

Financial Advisors. Except as set forth on Schedule 5.65.16, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or its Representatives in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.14, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person acting on behalf of the Company is entitled to any fee or commission or like payment from Purchaser in respect thereof. The Company shall be liable for any fees paid to any Persons in connection with any arrangement set forth on Schedule 5.14.

Financial Advisors. Except as set forth on Schedule 5.65.28, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof. Purchaser shall be responsible for the fees or commissions of any Person listed on Schedule 6.6.

Financial Advisors. Except as set forth on Schedule 5.65.18 of the Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Except as set forth on Schedule 5.64.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement Transaction and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Except as set forth on Schedule 5.64.21, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller, the Company or its Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers or any of their Subsidiaries in connection with the transactions contemplated by this Agreement and no Person engaged by Sellers is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement Agreement, and no Person is entitled to any fee or commission or like payment from Parent in respect thereof.

Except as set forth on Schedule 5.65.26, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.63.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company or any Company Stockholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.21, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment (other than as shall be included in the Final Transaction Expenses) from the Company in respect thereof.

Except as set forth on Schedule 5.6Section 6.8 of the Purchaser Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for Buyer in connection with the transactions contemplated by this Agreement Purchaser or its Affiliates and no Person is entitled to any fee or commission or like payment from Purchaser or its Affiliates in respect thereofconnection with the Transaction.

Except as set forth on Schedule 5.64.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Purchaser shall be liable for any fees payable to the Persons set forth on Schedule 6.6.

Financial Advisors. Except as set forth on Schedule 5.66.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement Transactions, and no Person listed on Schedule 6.6 is entitled to any fee or commission or like payment from Selling Stockholder or any of its Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.67.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on in Schedule 5.66.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer either Parent or Merger Sub in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchasers in connection with the transactions contemplated by this Agreement Transactions, and no Person listed on Schedule 6.4 is entitled to any fee or commission or like payment from Seller or any of its Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller Parent or Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Securityholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.6in Section 6.5 of the Purchaser Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement Contemplated Transactions and no Person is entitled to any fee or commission or like payment from Seller in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.19, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Company or Seller (with respect to the Acquired Assets or Transferred Assets) in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.66.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers or any of the Subsidiaries in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment in respect thereof. Sellers shall be solely obligated for the payment of all fees and expenses of any such broker, finder, or financial advisor.

Financial Advisors. Except as set forth on Schedule 5.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person person is entitled to any fee or commission or like payment in respect thereof.

Except as set forth on disclosed in Schedule 5.65.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Except as set forth on Schedule 5.65.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Except as set forth on Schedule 5.65.16, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or its Representatives in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission (contingent or otherwise) or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.26, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company Group in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from the Company Group in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.63.8, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any in connection with the transactions contemplated by this Agreement Transactions and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Seller or the Company in connection with the transactions contemplated by this Agreement and no Person engaged by Seller is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.1(f) hereto, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Selling Stockholder in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereofthereof (provided, that the fees, commissions or like payments of any Person set forth on Schedule 5.1(f) shall be paid by the Selling Stockholders).

Financial Advisors. Except as set forth on Schedule 5.66.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.6------------------ 4.27, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company or the Shareholder in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.63.6, (a) no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer such Equity Seller in connection with the transactions contemplated by this Agreement and (b) no Person is or will be entitled to any fee or commission or like payment in respect thereofof so acting.

Financial Advisors. Except as set forth on Schedule 5.63.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company or their Affiliates in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth indicated on Schedule 5.66.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions Transaction contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.64.23, no Person has acted, directly or indirectly, as a brokerbroker or, finder or financial advisor for Buyer the Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.66.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Company in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.23 of the Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Sellers in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Sellers or their respective Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.67.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement Agreement, and no such Person is entitled to any fee or commission or like payment in respect thereofconnection with the transactions contemplated by this Agreement based on arrangements made by Purchaser or any Affiliate of Purchaser. Purchaser is solely responsible for the fees and expenses of the Person(s) set forth in Schedule 7.6.

Financial Advisors. Except as set forth on Schedule 5.64.06, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer Purchaser in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.22, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer the Seller Parent or the Companies in connection with the transactions contemplated by this Agreement and no Person such Person, including those set forth on Schedule 5.22, is entitled to any fee or commission or like payment from the Purchasers or any Company in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.65.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Buyer any Seller in connection with the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Purchaser in respect thereof.
