Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Section 4.22 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company in connection with the Transactions and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on in Section 4.22 5.18 of the Company Disclosure ScheduleLetter, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company Companies in connection with the Transactions Transaction and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on in Section 4.22 6.6 of the Company Buyer Disclosure ScheduleLetter, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company Buyer in connection with the Transactions transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on in Section 4.22 5.18 of the Company Disclosure ScheduleLetter, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company such Seller in connection with the Transactions transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on Section 4.22 5.21 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company in connection with the Transactions transactions contemplated by this Agreement, and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on Section 4.22 4.26 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company Sellers or the Acquired Companies in connection with the Transactions transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on in Section 4.22 5.16 of the Company Seller Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company Seller in connection with the Contemplated Transactions and no such Person is entitled to any fee or commission or like payment from the Company Purchaser in respect thereof.

Financial Advisors. Except as set forth disclosed on Section 4.22 4.25 of the Company Disclosure Schedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company in connection with the Transactions transactions contemplated by this Agreement or any other Transaction Document and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof.

Financial Advisors. Except as set forth on in Section 4.22 6.14 of the Company Acquiror Disclosure ScheduleLetter, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company Acquiror in connection with the Transactions transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from the Company in respect thereof. For the avoidance of doubt, the fees and expenses of each Person listed in Section 6.14 of the Acquiror Disclosure Letter will be paid by Acquiror or its Affiliates.

Financial Advisors. Except as set forth disclosed on Section 4.22 of the Company Disclosure ScheduleSchedule 4.19, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company or any Subsidiary in connection with the Transactions transactions contemplated by this Agreement, and no such Person engaged by the Company or any Subsidiary is or will be entitled to any fee broker’s, finder’s or similar fee, commission or like payment from the Company in respect thereof.

Financial Advisors. Except for Xxxxxx Xxxxxxxx & Co. (the "Financial Advisor") and as set forth on provided in Section 4.22 of the Company Disclosure Schedule11.01, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company in connection with the Transactions transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from the Company or Parent in respect thereof.

Financial Advisors. Except as set forth on Section 4.22 of the Company Disclosure ScheduleLetter, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Company or any Company Subsidiary in connection with this Agreement or the Transactions transactions contemplated hereby, and no such Person broker, finder, agent or similar intermediary is entitled to any fee or commission or like payment from the Company in respect thereof.
