Common use of Final Approval Order Clause in Contracts

Final Approval Order. This Settlement Agreement is subject to and conditioned upon the issuance by the Court of a Final Approval Order that grants approval of this Settlement and: a. Finds that the notice under the Notice Plan satisfies the requirements of Due Process and Civil Rule 23; b. Finds that the Settlement Agreement is fair, reasonable, and adequate to the Settlement Class Members; c. Finds that Plaintiffs and Class Counsel have adequately represented the Settlement Class Members; d. Finds that each Settlement Class Member sh▇▇▇ be bound to this Settlement Agreement, including the release and covenant not to sue in Section XI; e. Approves this Settlement; f. Dismisses on the merits with prejudice all claims of the Settlement Class Members asserted in this Action and subject to the Release in this Settlement Agreement; and g. Retains jurisdiction of all matters relating to the administration, implementation, interpretation, and enforcement of this Settlement.

Final Approval Order. This Settlement Agreement is subject to and conditioned upon the issuance by the Court of a Final Approval Order and Judgment that grants final approval of this Settlement Agreement and enters a final judgment and: a. Finds that (a) finds the notice under the Class Notice Plan provided satisfies the requirements of Due Process due process and Federal Rule of Civil Rule 23Procedure 23(e)(1); b. Finds that (b) finds Settlement Class Members have been adequately represented by the Class Representative and Class Counsel; (c) finds the Settlement Agreement is fair, reasonable, and adequate with respect to the Settlement Class Members; c. Finds that Plaintiffs and Class Counsel have adequately represented the Settlement Class Members; d. Finds Class, that each Settlement Class Member sh▇▇▇ will be bound to by this Settlement Agreement, including the release Release and the covenant not to sue set forth in Section XIX, and this Settlement Agreement should be and is approved; e. Approves this Settlement; f. Dismisses (d) dismisses on the merits and with prejudice all claims of the Settlement Class Members asserted in this Action the Action; (e) permanently enjoins each and subject every Settlement Class Member from bringing, joining, or continuing to prosecute any Released Claims against Defendants or any of the Release in this Settlement AgreementReleased Parties; and g. Retains (f) retains jurisdiction of all matters relating to the interpretation, administration, implementation, interpretationeffectuation, and enforcement of this SettlementSettlement Agreement.

Finds that the Settlement Agreement is fair, reasonable, and adequate to the Settlement Class Members; c. iii. Finds that Plaintiffs Named Plaintiff and Class Counsel have adequately represented the Settlement Class Members; d. iv. Finds that Named Plaintiff and each Settlement Class Member sh▇▇▇ shall be bound to this Settlement Agreement, including the release and covenant not to sue in Section XIrelease; e. v. Approves this Settlement; f. vi. Dismisses on the merits with prejudice all claims of the Named Plaintiff and Settlement Class Members asserted in this Action Action; vii. Remains in full force and subject effect following final resolution of all appeals related to the Release in this Settlement AgreementAction; and g. viii. Retains jurisdiction of all matters relating to the administration, implementation, interpretation, and enforcement of this Settlement.

Retains jurisdiction of all matters relating to the administration, implementation, interpretation, and enforcement of this Settlement.

Dismisses on the merits with prejudice all claims of the Settlement Class Members asserted in this Action and subject to the Release in this Settlement AgreementAction; and g.
