Filings Under HSR Act. As soon as practicable, each of Helix and GPC shall file with the Federal Trade Commission (the "FTC") and the Antitrust Division of the Department of Justice (the "Antitrust Division") a premerger notification form and any supplemental information (other than privileged information) which may be requested in connection therewith pursuant to the HSR Act, which filings and supplemental information will comply in all material respects with the requirements of the HSR Act. Each of GPC and Helix shall cooperate fully with the other in connection with the preparation of such filings and shall use best efforts to respond to any requests for supplemental information from the FTC or the Antitrust Division and to obtain early termination of any waiting period applicable to the Merger under the HSR Act. Any and all filing fees required to be paid in connection with the premerger notification pursuant to the HSR Act shall be borne by Helix.

Filings Under HSR Act. Purchaser and each Stockholder shall use all reasonable best efforts to cooperate with one another in determining, no later than ten (10) days from the date hereof whether any filings are required under the HSR Act in connection with this Agreement, and as soon as practicable upon making any determination that such filings are required, and in any event within fifteen (15) days after making such determination, shall make all necessary filings under the HSR Act and shall cooperate in attempts to secure early termination of the applicable waiting period.
Filings Under HSR Act. As soon as practicable, but in no event later than seven (7) days after the date hereof, each of Seller and Buyer shall file with the Federal Trade Commission (the "FTC") and the Antitrust Division of the Department of Justice (the "Antitrust Division") a premerger notification form and any supplemental information (other than privileged information) which may be requested in connection therewith pursuant to the Hart-Xxxxx-Xxxxxx Xxxi-Trust Improvements Act of 1976, as amended (the "HSR Act"), which filings and supplemental information will comply in all material respects with the requirements of the HSR Act. Each of Seller and Buyer shall cooperate fully with the other in connection with the preparation of such filings and shall use their respective best efforts to respond to any requests for supplemental information from the FTC or the Antitrust Division and to obtain early termination of any waiting period applicable to the purchase and sale of the Assets under the HSR Act. Any and all filing fees required to be paid in connection with the premerger notification pursuant to the HSR Act shall be borne and paid by Buyer.
Filings Under HSR Act. Purchaser and Seller shall make the necessary filings under the HSR Act with respect to the transactions contemplated hereby as promptly as possible but in no event more than ten (10) calendar days following execution of this Agreement, and shall thereafter use commercially reasonable efforts to cause the related waiting period to expire or to be otherwise terminated at the earliest practicable time.
Filings Under HSR Act. As soon as practicable, each of the Purchaser and Seller shall file with the Federal Trade Commission (the "FTC") and the Antitrust Division of the Department of Justice (the "Antitrust Division") a premerger notification form reporting all of the transactions to be consummated under this Agreement and any supplemental information (other than privileged information) which may be requested in connection therewith pursuant to the HSR Act, which filings and supplemental information will comply in all material respects with the requirements of the HSR Act. Each of Seller and the Purchaser shall cooperate fully with the other in connection with the preparation of such filings and shall use commercially reasonable efforts to respond to any requests to such party for supplemental information from the FTC or the Antitrust Division and to obtain early termination of any waiting period applicable to the merger under the HSR Act. Any and all filing fees required to be paid in connection with the premerger notification pursuant to the HSR Act shall be borne and paid by each Party.
